ARTICLE I WORK TO 3 PERFORMEO CONTRACTOR agrees to perform the work described below for PETROCHEMICAL in accordance with the specifications, plons, mops, and instructions as set forth in the ottoched Exhibit "A", incoiporoted hereto by the signotures of the porties identifying them os o part hereof. All matters not covered m detail herein sholl be performed m a manner consistent with the highest stondords prevailing for such type of work in the petrochemical industry. ARTICLE II * ALTERATIONS AND EXTRAS PETROCHEMICAL, at cny time during the progress of said work, shall have the right, without invalidating the ogreement, bond, or the original plans, drewmgs and specifications to which they refer, to order extra work or make changes or alter, odd to, or deduct from said work, but no such extra work or change sholl be undertaken by CONTRACTOR unless a written order therefor is first given by PETRO CHEMICAL to CONTRACTOR, incorporating therein the increase or decrease, os the seme may be, in said ogreement price for such extra work and/or chonges ood o revised time for the completion of the work under this Agreement (if a revised time be required). Upon receipt of such written order for extra work, changes or alterations, CONTRACTOR without deloy shall do such extra work and/or make such chonges or alterations, and work and materials sholl be chorged to PETROCHEMICAL'S occount on o cost-plus bos is as set forth in Article XIX below. It will be noted in the ottoched Exhibit "A" that in certain instances specific moteriols, products, methods and services have been specified by brond or trade name portly for the purpose of establishing the effect or standard of quality desired. Upon the prior written approval of PETROCHEMICAL'S authorized representative, substitution* for such specifically named rro'erials, products, methods or services may be mode; provided the materials, products, methods or services desired to be substituted hove been proven to PETRO CHEMICAL'S authorized representative to provide the effect or standard of quality desired. CONTRACTOR sholl hondle all moteriols so that they may be inspected by PETROCHEMICAL'S authorized representative and should any moteriols oe found defective or in any way not in occordonee with the contract, such moteriol, without regard to the stoge of completion, moy be rejected by PETROCHEMICAL'S authorized representative and, if so rejected, sholl be promptly removed from the pre mises by CONTRACTOR installing some and replaced at CONTRACTOR'S sole cost, risk and expense. Re-exommolicn of questioned work may be ordered by PETROCHEMICAL'S authorized representative, ond if so ordered, the work must be uncovered by the CONTRACTOR. CONTRACTOR shall pay all costs of uncovering or replacing any questioned work unless the work was covered after the inspection and approval of PETROCHEMICAL'S authorized representative ond, upon uncovering, is found to be in eccordcnce with the contract documents, in which event such costs of uncovering shall be borne by PETROCHEMICAL. ARTICLE III - MATERIALS AND PERSONNEL CONTRACTOR shall furnish at its own expense constant supervision, competent foremen, end oil bonds, permits, licenses, labor, tools, equipment, fuel, materials, machinery and transportation, together with all other items which may be necossory in the performance and completion of the work herein described, except such us may be specifically provided below to be furnished by PE TROCHEMICAL. Unless otherwise specified all materials sholl ba new and of a grade ond of a quality adequate for tha required use; and all materials and equipment used in the construction of this project sholl be adequately inspected and tested by CONTRACTOR m accordance with accepted stondords ot no expense to PETROCHEMICAL, unless otherwise specifically provided. Before ordering any materials or doing any work, CONTRACTOR sholl verify all rneosurerrunts at the site ond shall be responsible for the correctness of some. No extra charge or compensation will be allowed on occount of any difference between actual dimensions ond the measurements indicated on the Drawings. Any differences which may be found shall be submitted to PETROCHEMICAL'S authorized representative for his consideralion and instructions before proceeding with the work. Upon receipt of notice from PETROCHEMICAL'S authorized representative that any notorial placed in the Project or on the site is not of the quality specified or hoi been improperly placed, CONTRACTOR shall remove some from the site, or have some replaced os the case may be, within JQ hours ofter roc-'ipt of Such notice, of CONTRACTOR'S sole cost, risk end expense. ARTICLE VII - NON-ASSIGNABILITY CONTRACTOR shall not assign this agreement or subcontract the whale or ony port of soid work without PETROCHEMICAL'S prior written consent. PETROCHEMICAL'S consent to ony such assignment or subcontioct sholl not relieve CONTRACTOR, or CONTRAC TOR'S surety, if there be o surely, of the primary responsibility or ony liability lor the full and faithful performance of this CONTRACT occordmg to its terms and conditions. ARTICLE VIII - OPERATIONS CONTRACTOR sholl commence actual operations immediately upon the execution hereof by PETROCHEMICAL ond CONTRACTOR and shall prosecute them diligently ond without interruption to completion in a good ond workmanlike monner within the period of lime set out in Article XIX. ARTICLE IX - DEFAULT Time ond quality of work shall be of the essence of this Contract. If CONTRACTOR foils to begin, or hoving commenced, foils to prosecute the work in o good and workmanlike manner with reasonable diligence, PETROCHEMICAL may, ot its option, upon three doys' n-tice, n writing, to CONTRACTOR, terminot# hiswork.ln the event PETROCHEMICAL terminates this Contract then, without prejudice to ony other remedy it moy hove, PETROCHEMICAL moy toke control of this work for the purpose of completing the some under th# terms hereof, either by its own employees or by other independent CONTRACTORS. If PETROCHEMICAL tokes control of this work, CONTRAC TOR shall be entitled, upon PETROCHEMICAL'S completion of the work, to the difference between the controct price ond the reosonoble cost ond expense incurred by PETROCHEMICAL in finishing soid work. If such cost ond expense should exceed the controct price, CONTRACTOR ogrees to pay the excess to PETROCHEMICAL at Corpus Christi, Texas os liquidated domoges agreed upon by th# porties hereto in consideration of the difficulty of ascertaining the octual damages by other means. Provided, however, that if the completion of this Controct Is delayed, by PETROCHEMICAL, by general strikes, acts of Cod, or cousality, beyond the control of this CONTRACTOR, then, in such event, the time of completion of this Controct shall be extended for such additional time os sholl be caused by such delay. Provided, however, that CONTRACTOR herein shall ot the time of such deloy, if ony, demand of PETROCHEMICAL, in writing, such addi tional time within which 1o complete the performance of this Controct. ARTICLE X - NOTICES Notices hereunder sholl be sent to ihe respective addresses of the parties, but all requests given CONTRACTOR'S foremen on the job by PETROCHEMICAL'S authorised representative, os designated in Article XIX, sholl be conclusive. Orol communications will be sufficlent except as to matt9'S required to be in writing by this Contract. ARTICLE XI - INDEMNITY CONTRACTOR ogrees to protect, indemnify ond hold PETROCHEMICAL free and harmless from ond against any and oil claims, liabilities, demonds ond couses of action of every kind and chorocter (including the amounts of judgments, penalties, interest. Court costs and legol fees incurred by PETROCHEMICAL in defense of same) arising m favor of governmental ogoneies or third porties (including em ployees of either party) on account of taxes, claims, debts, personal injuries, deolh or damages to property, and without limitation by enu* merotionol! other claims or demands of ony kind, character or noture, arising out of or incidental to the work to be performed by CONTRAC TOR. ARTICLE XII - COMPLIANCE WITH AUTHORITY CONTRACTOR agrees to comply with oil lows, orders, rules or regulations of cny governmental body, including without limitation, those pertaining to sociol security, safety, heolth, old oge pension and unemployment compensation. Before fino! settlement,CONTRACTOR shall satisfy PETROCHEMICAL of the payment ond release of all debts, toxes, liens, cloims, charges and obligations arising by opera tion of low, or otherwise out of its performance of the work. CONTRACTOR hereby authorizes PETROCHEMICAL *o deduct from ony 0meunt due CONTRACTOR (whether or not arising out of this agreement) <31! amounts vrhich may be payable by CONTRACTOR to PETRO CHEMICAL, ond also, oil omeunts lor which PETROCHEMICAL moy become liable to a third porty by reason of CONTRACTOR S octs in perform.ng, or failing to perform CONTRACTOR'S obligations under this ogreement, enj m the event that any claim is mode by a third poity, th amount or validity of which is disputed by CONTRACTOR, or ony indebtodness shell exist which shall oppeor to be the bosis for o claim of lien, PETROCHEMICAL may withhold from ony pa> ment due, without liability for interest because of such withholding, an o.rount sufficient to covsr such claim. The foilure of PETROCHEMICAL to exercise such righl to deduct or to w*lhho)d shall not, however, affect the obligation of CONTRACTOR to protect PETROCHEMICAL as elsewhere provided herein. Such payment shall be mode under the lerms and conditions governing finol pay ment, except that it sholl not constitute a woiver of cloims. ARTICLE XViil - INTERPRETATION This Contract, together with the specifications, plons, mops and instructionsottached or identified separately, constitute the entire agreement between the porlies, and no other conversations, bids, memoranda, or other motfer shall vory, alter, o interpret the terms hereof.
