October 10, 1972 By order of the Chairman, there was a meeting of the Executive Committee of the Board of Directors of the Lead Industries Association, Inc., held on Tuesday, October 10, 1972, at the Association headquarters, 292 Madison Avenue, New York, New York. These in attendance were: Directors Representing D. Broward Craig, Chairman St. Joe Minerals Corporation R. J. Kenny ESB Incorporated S. D. Strauss American Smelting & Refining Co STAFF- Philip E. Robinson Executive Vice President Jerome F. Smith Secretary & Manager (1) CALL TO ORDER at 2:30 p.m. The Chairman, Mr. D. Broward Craig, called the meeting to order (2) QUORUM business. It was determined that a quorum was present for the transaction of (3) APPROVAL OF MINUTES OF PREVIOUS MEETING The Minutes of the Executive Committee Meeting held September 20, 1971, were approved with the following change: Page 2, Paragraph 3A - Last Sentence to Read as Follows: "During the discussion Mr. Strauss remarked that the Government of Peru has proposed that it will handle the marketing cf.all metals mined in that country under the . '4) REVIEW OF.FINANCIAL POSITION The Secretary reported that the operating fund balance as of September 30th was approximately Slid.. 530.00 and that the expected year-end reserve would be around $90,000. He also reported that the projected tonnage base for the 1973 assessment period would be approximately 660,000 tons. It was observed that if this tonnage base holds, an assessment rate of 90-91C per ton would provide sufficient money to fund the proposed budget recently sent to the Industry Develop ment Committee for its consideration. if) ZINC AND LEAD INTERNATIONAL SERVICE .ZALIS1 A di.scussion fe_lowed on the proposed budget for ZALIS for 1.973. Mr. Robinson, pointed out that as noted in his letter to both the Zinc and Lead Association's Boards cf September 22, 1972. the ZALIS Board had proposed an increase in the budget which would raise LIA's contribution from $22,500 in 1972 to $24,300 in 1973. Reason for the requested increase was: :A' to reinstate the technical visit-program to ZALIS countries, ar.d (B) to increase the flew of technical literature and information to them. After some discussion- it was agreed the ZALIS Board should be notified that while the Executive Committee goes along with the increase for 1973, it should only apply for one year, and for 1974 the ZALIS budget should be decreased. Further, by way cf reducing LIA's contribution to this program, the Executive Committee suggested that the budget for the Mexican Center should be reduced by half for 1974. (6) REPORT ON MEMBERSHIP & DUES REVIEW COMMITTEE The Chairman, Mr. Craig, who is also Chairman of the Membership & Dues Review Committee, noted that an initial meeting of this group had lieen held, and after considering current activities of the Association, the Committee had been requested to consider the importance of these activities to the individual market ing segments represented, e.g., mining, batteries, secondary smelting, pig lead sales, and manufacturing. Mr. Craig noted that another meeting has been scheduled for November 1, 1972, and at that time consideration will be given to the rate structure and minimum dues assessment. He indicated that the Committee would probably not have firm recommendations until the time cf the Annual Meeting in April, 1973. (7) ILZPC/LIA ENVIRONMENTAL HEALTH DEPARTMENT TRAVEL EXPENSES The Secretary nctsd that Dr. Cole, the Director of the ILZRO/'LIA Environmental Health Department had indicated that his department no longer had travel funds and requested that LIA provide a supplemental sum to cover travel expenses for October, November, and December. Reason given for the underestimate of travel expenses for 1372 was that more traveling was necessary than anticipated, LIAC4904 Executive Committee Meeting Minutes 3 and travel expenses for Dr. lyr.am who joined the Staff after the first of the year had not been included in this budget. Dr. Cole estimated that an additional $10,000 would be required for the remainder of 1972. of which half would be paid by ILZRO and the remaining half by LIA. After further discussion it was moved, seconded and approved that the sum of $5,000 be deleted from the LIA Travel and Expense Budget, and added to the ILZRC/LIA Environmental Health Department Budget, making the total appropriation for the latter $50,000 rather than $45,000. (8) CONSIDERATION OF METRIC COORDINATING ACTIVITES The Secretary reported that the American National Standards Institute (ANSI) had met September 7, 1972, to consider the formation of a "National Metric Planning and Coordination Council," to be composed of representa tives from labor, industry, government and trade associations. In order to assure that the lead and zinc industries are kept informed of any metric standards pro posed by the Council, the Committee suggested that one person should be appointed tc represent LIA, ZI, and ILZRO on the Council. The Committee suggested that Staff work out with ZI and ILZRO whom the representative should be. (9) REPORT ON MEMBERSHIP AND BOARD OF DIRECTORS VACANCIES The Secretary reported that LIA had 52 members as of October 1, 1972. Changes since the Annual Meeting Report were: (a) One new member Seitzinger's, Inc., and, (b) One resignation - Eagle-Picher Industries, Inc. The Eagle-Picher resignation created a vacancy on the Board, and it was suggested that Mr. Keith Hendrick of Noranda Sales Corporation be approached to determine_if he would serve as a Director if nominated. (10) REVIEW OF PROPOSED ORGANIZATIONAL CHANGES WITHIN LIA/ZI The Executive Vice President noted that certain administrative functions common to both LIA and ZI could be more efficiently handled by one person and displayed an organizational chart which would take advantage of this situation. The following organizational changes were proposed: (a) Mr. Smith to be appointed General Manager and to be elected Secretary of both organizations. (b) Mr. Gage to become Assistant Secretary & Director of Communications of both organizations. (c) Mrs. Moore to become Comptroller and Assistant Treasurer of both organizations. (d) Mr. Assadi to become Manager of Association Services of both organizations. Mr. Robinson noted that other changes, while minor, would take advantage of the common usage in architecture, batteries, etc., of both lead and zinc. He noted that a final recommendation on these proposed changes would be made to the Board at the meeting of December 5, 1972.
