Our Dyna-Therm Corporation "WHIRL-A-WAY" centrifugal separator was quoted with two (2) different constructions. We are suggesting that the alternate selection be evaluated as our primary offering, since this is a standard separator and many of these have been furnished for this particular service. The basic bid for a separator in accordance with drawing #1945, is a heavily strengthened unit and will be required only if you had a continuous stream of high velocity water or liquid entrainment impinging almost constantly against the centrifugal element. The more standard unit as described on Drawing #1951, is capable of handling high quantities of liquid and reasonable slugging conditions, even though it is not quite as strong as the unit described on Drawing #1945. OFFER AND CONTRACT: This quotation is Seller's offer to sell the goods specified. The issuance of an order against this quotation shall constitute an acceptance of the quotation and not a counteroffer, unless so specifically stated, and shall create a contract of sale sub ject only to final credit approval and acknowledgment by Seller. Any additional or different terms contained in Buyer's accept ance, whether contained in its formal purchase order or other wise, and whether acknowledged by Seller without further noti fication of objection or not, shall not become a part of the con tract of sale unless such additional terms: a) do not materially subtract from, modify or add to the provisions hereof; or b) are expressly accepted in writing by Seller. TITLE AND SHIPMENT: Title to and risk of loss of all goods sold hereunder shall pass to Buyer upon their delivery by Seller at the F. O. B. point specified. Delays in transportation shall not extend terms of payment. In case of refusal or inability of Buyer to accept any shipment hereunder. Buyer shall be held liable for freight, ex press, storage, extra cost of handling and other expenses that may be incurred thereby. 3. TAXES: Any and all taxes, excises, duties or other charges which the Seller may be required to pay to any government (local, state, national or foreign) upon the production, sale or trans portation of the goods sold hereunder shall be added to and bebecome a part of the price payable by Buyer. 4. EXCUSABLE DELAY: Seller shall not be liable for non-performance or for delay in performance, or in the delivery specified hereunder or for any damages suffered by Buyer by reason thereof when such non-performance or delay is directly or indirectly caused by or in any manner arises from fires, floods, earthquakes, acci dents, riots, war, operation of law. Government regulation or requirements, strikes or other labor difficulties, shortage of fuel, power, materials or supplies, inadequate transportation facilities, failure by suppliers or subcontractors, or any cause or causes beyond Seller's reasonable control whether or not such cause was existent on the date hereof. 5. TERMINATION: This contract is not subject to termination except with Seller's written agreement. However, if the contract is a sub contract under a U. S. Government contract and such Govern ment contract is terminated for the convenience of the Govern ment, then this contract may likewise be terminated for con venience and the termination shall be in accordance with laws, rules and regulations applicable to convenience termination of the Government contract. 6. WARRANTY: Seller warrants that at the time of delivery the goods here under, including goods repaired or replaced under this provi sion, shall be free from defects in material and workmanship and shall conform substantially to applicable specifications as stipulated in this contract. Seller's obligation under this war ranty is limited to the free repair or replacement, at Seller's election, of goods or parts thereof returned to Seller which are shown to Seller's reasonable satisfaction to have been defective; PROVIDED THAT: a) written notice of the defect shall have been given by Buyer to seller within twelve (12) months after delivery of the goods to the first user and the goods returned during Huch period, and; b) transportation charges for the return of defective goods to Seller and their reshipment to Buyer and the risk of loss thereof is borne by Buyer, and; c) such goods were installed and operated strictly in accord ance with Seller's written recommendations and/or applic able specifications and, except as they are included as part of such specifications, the goods shall not have been ex posed to excessive vibration, excessive cycling pressure surges or other unusual condition and shall not have been repaired or altered in any way so as, in Seller's judgment to affect adversely compliance with the requirements of the contract. This warranty is in lieu of all other warranties (except of title) express or implied, including without limitation warranties of MERCHANTABILITY and FITNESS FOR PARTICULAR PUR POSE, and all other representations and all other obligations or liabilities including liability for incidental and consequential damages on the part of the Seller. No person is authorized to give any other warranties or to assume any other liability on the behalf of Seller unless made or assumed in writing signed by Seller. 7. COMPLIANCE WITH LAW: Seller hereby certifies that all goods sold hereunder which are produced or manufactured in the United States of America are produced incompliance with the Fair Labor Standards Act of 1938, as amended, and any other applicable United States Statutes. AH requirements as to the certificate contemplated in the October 26, 1949, amendment to the Fair Labor Stan dards Act oi 1938 shall be considered as satisfied by this cer tification. 8. BUYER'S FINANCIAL STATUS: Should Buyer's financial responsibility be, or become un satisfactory to Seller, cash payment or satisfactory security may be demanded by Seller, and in default of such cash pay ment or satisfactory security, deliveries may be discontinued at the option of Seller and a charge rendered covering the value of any completed or partially finished goods that are commit ted by Seller to this contract including a reasonable allowance for profit. 9. MODIFICATIONS, APPLICABLE LAWS: No modification of this contract shall be binding unless in writing signed by both parties hereto. This contract shall be interpreted in accordance with, and the construction thereof shall be governed by, the laws of the State of Texas. Captions, as used herein, are for convenience of reference only and shall not be deemed or construed as in any way limiting or extend ing the language of the provisions to which such captions may refer. REPRESENTATIVE QUOTATIONS: Seller has authorized selected Representation by written agreement, to furnish quotations in its behalf in accordance with the terms of the agreement and the limitations therein contained.
