HISTORY
Corporate History: Incorporated under the laws of Kansas. Dec. 12. 1895.
The old Atchison, Tnpcka Sc Santa Fe Rail road Company was chartered in Kansas In February, 1859. The main iine was completed In 1873 and the years of depression, following the crisis of that year, affected the company adversely When better times appeared, the companv constructed more than three thou sand miles of new road and gained control over three thousand five hundred miles more. This expansion began in the `80s and by 1590. with the acquisition of the St. Louis & San Francisco R.R. and the Colorado Midland R R. reached nine thousand miles or more--the longest railway in the world at that time. The depression tn 1893 shook this great system apart, as it did manv other roads, and the Atchison lost a considerable part of its mile age in the reorganization.
The present company acquired Chicago, Sante Fe Sc California Ry. Co. in 1900 and on Apr. 1. 1991. San Francisco Sc San Joaquin Valley Ry. Co. (chartered In 1895). Santa Fe. Prescott & Phoenix Ry. Co. (Incorporated In 18914 was acquired in July, 1901, and was merged into California. Arizona Sc Santa Fe Ry Co. in Dec.. 1911. In Sept., 1935, acquired through General Improvement Co. (since dis solved) control of Santa Fe Trail Transporta tion Co. In 1937. company purchased the Fort Worth Sc Rio Grande Ry. Co. owning a line from Fort Worth to Menard, Texas, approxi mately 216 miles, and the operation of the road was taken over by the Gulf, Colorado St Santa Fe Ry. on Mar. I. 1937.
On June 30. 1941, company acquired and merged properties of following companies formerly operated under lease: Buffalo North western R.R. Co.. Oil Fields' Sc Santa Fe Ry. Co.. Osage County & Santa Fe Ry. Co., and the Kansas City, Mexico Sc Orient Ry. Co.
On Dec. 31, 1942, company acquired and merged the following companies: Barton County Sc Santa Fe Ry. Co.; California South ern R.R. Co.; Corona Sc Santa Fe Ry. Co.; El dorado Sc Santa Fe Ry. Co.; Elkhart Sc Santa Fe Ry. Co.: Grand Canyon Ry. Co.; Mlnfcler Southern Ry. Co.; Oklahoma Central RJL Co.;

Ok'.ahoma-Texas line to Amarillo and New Mexico State line to Pecos, Texas. Farwell to Coicman, Amarillo to New Mexico State line, Slaton June, to Lamesa. Texas, OklahomaTexas line to Presidio Texas, etc.

In addition to Its directly owned lines, At chison either leases the property or owns prac tically all of the stock of e number of com panies operated as part of the system.
Details of lease of various leased Une com panies are not given for reason that all of capital stock, except directors' qualifying shares, and all of bonds of these companies are owned by The Atchison. Topeka & Santa Fe Ry Co. and it does not appear that the details are particularly Interesting to the Investing public- In some cases, where the Atchison Company Is the lessee end also the owner of all of the interest-bearing debt of the lessor, the leases provide for the waiv ing of Interest on the indebtedness of the lessor owned by the leasee and no rental is
paid. In other cases, particularly those compa
nies whose properties are operated by the Gull,
Colorado, and Santa Fe Ry. Co. and Panhandle
& Santa Fe Ry. Co., such rentals as are paid to
the lessors reach the Atchison Company tn the
shape of interest. These transactions offset one
another and they do not appear In the Income
account of the Atchison. Topeka 8k Santa Fa
Ry. System as shown in company's annual
reports to stockholder*. Leases of certain of
the companies which formerly received a
rental permitting of dividend declarations
have been modified so that the rental la
limited to Interest on their Interest bearing
obligations.
