January 20, 1966 A meeting of the Board of Directors of the Lead Industries Association, Inc., was held on Thursday, January 20, 1966 in the offices of the Association. PRESENT REPRESENTING S. D. The Secretary reported a quorum was present and kept the minutes of the meeting. The Secretary presented a copy of the notice of meeting which had been telegraphed and cabled to each Director, as provided in Section 4.03 of the Corporation's By-Laws. The copy was ordered filed with the minutes as Exhibit "A" (sent to Directors on January 14, 1966.) approved. The minutes of the previous meeting of December 7, 1965 were MEMORIAH TO THE LATE MR. ROBERT L. ZIEGFELD A motion was made, seconded and unanimously carried that the following resolution be suitably prepared and presented to the family of the late Mr. Robert L. Ziegfeld: LIA01*76 AhBad with Lead N 3761 Board of Directors Meeting Minutes -2- January 20, 1966 PI MEMPHIAN Robert Lindley Ziegfeld had served Lead Industries Association for 37 years when he was taken by untimely death on January 11, 1965. During those many years he contributed his wisdom, vision and experience to the growth and usefulness of this organization. Executive vice-president at the time of his death, he had served in many capacities and if he had grown with the Association, it had grown with him, too, and under his guidance and counsel. His fair open-handedness, warm friendship and personality will be sorely missed by every member of the Association and its staff. His accomplishments stand as challenging monuments in the sight of those he left behind. BY RESOLUTION OF THE BOARD OF DIRECTORS of the LEAD INDUSTRIES ASSOCIATION, INC. January 20, 1966 FINANCIAL HONORARIUM TO MRS. ROBERT L. ZIEGFELD A motion was made, seconded and unanimously carried to pay to Mrs. Robert L. Ziegfeld an amount equal to six months' salary of her late husband. DONATION TO AMERICAN CANCER SOCIETY A motion was made, seconded and unanimously carried that a donation of $100.00 be made by the Lead Industries Association in behalf of its members to the American Cancer Society in tribute to the late Robert L, Ziegfeld and that Mrs. Ziegfeld be so notified. APPOINTMENT OF TREASURER AND ASSISTANT TREASURER A motion was made, seconded and unanimously carried appointing David M. Borcina as Treasurer and Robert Walley as Assistant Treasurer of the Lead Industries Association, Inc. FUTURE ORGANIZATION Future organizational plans were discussed and the Chairman, with the Board's approval, appointed a committee to investigate the various possibilities offered. The Committee, consisting of Messrs. Carter, Englehorn and Strauss, would be requested to present its reconmendations at the next meeting of the Board. NEXT MEETING DATE It was agreed that the next meeting be held on March 31, 1966 during the annual meeting in St. Louis, Mo.
