PRICING INFORMATION Minimum order size:
Standard products -- 50 lbs. Custom/Made-to-Order Products -- 150 lbs. Various grades and quantities of Geon compounds may be combined and priced according to the total pounds shipped at one time to one destination. Orders for Custom/Made-to-Order products of less than 5000 lbs. per individual item are not combinable with each other or with standard Geon products for price advantage. Estane, TempRite CPVC, and offgrade products cannot be combined with Geon products for quantity pricing benefits. An addition of $0.02/lb. will be made to above prices on shipments to points in Washington, Oregon, California, Arizona, New Mexico, Nevada, Utah, Idaho, Montana, Wyoming, and Colorado (West of Denver).
PACKAGING Standard container -- 50 lb. bag or 1300 lb. palletized fiber boxes.
Bulk truck -- prices quoted upon request. Bulk rail -- prices quoted upon request.
SPECIAL COLOR AVAILABILITY Certain custom colors requiring special pigmentation will be priced higher than above custom color prices.
Contact Cleveland for specific information. Customer color matches are available. A 10,000 pound minimum order is required with color match request.
SALES TERMS AND CONDITIONS OF THE BFGOODRICH COMPANY, GEON VINYL DIVISION ("BFG")
1. QUOTATIONS/ORDER ACCEPTANCE All quotations made by BFG are subject to change without notice. All orders are subject to acceptance by BFG at Cleveland, Ohio, U.S.A. Unless otherwise stated, all orders accepted will be accepted with the understanding that prices are subject to change without prior notice and, together with applicable taxes, shall be those in effect on the date of shipment except as herein otherwise provided as to made-to-order compound. If any applicable law, decree,
order, regulation or other governmental ruling should prevent or restrict BFG to any extent in increasing prices hereunder or hereafter reduces any prices already in effect, BFG may cancel any unshipped portion of the order without liability. In the event of any price increase, other than due to any governmental tax, excise, duty or levy, any
unshipped portion of an order may be cancelled at Buyer's option, provided, however, that if the order covers a made-to-order compound, and Buyer has been notified of such price increase prior to commencement of manufac ture and does not thereupon elect to exercise such right of cancellation, it shall not thereafter be subject to cancellation except with BFG's written consent. If when notified of such price increase Buyer elects to cancel, that portion of the order then manufactured or in the process of manufacture will be completed and delivered at the price specified, and Buyer will reimburse BFG for the cost of all component materials, parts and special tooling or equipment procured for the performance of the made-to-order compound.
2. WARRANTIES
All products sold hereunder are warranted to be within BFG quality standards for such product. BFG reserves the
right to change formulations of products at any time so long as the product, as shipped, is in conformance with our
published specification for said product. Any recommendations made by BFG for use of product are based upon
tests believed to be reliable, but suitability, testing and use of product in any specific application is the complete
responsibility of Buyer. THE ABOVE WARRANTIES ARE GIVEN IN LIEU OF ALL OTHER WARRANTIES EITHER
EXPRESSED OR IMPLIED. BFG DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND
FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL BFG BE LIABLE FOR ANY INCIDENTAL, CON
SEQUENTIAL OR SPECIAL DAMAGES. BFG'S LIABILITY FOR DAMAGES UNDER THIS CONTRACT OR OTHER
WISE SHALL IN NO EVENT EXCEED THAT PART OF THE PURCHASE PRICE APPLICABLE TO THE PRODUCT
WITH RESPECT TO WHICH SUCH DAMAGES ARE CLAIMED. Buyer must give BFG written notice of any claim of JO
breach or warranty within 10 days after the occurrence of the event upon which such claim is founded; the failure O
of Buyer to give such written notice shall be a waiver of all claims. Buyer assumes all risk of patent infringement byCJ
reason of any use Buyer makes of the product in combination with other substances or in the operation of any pro- 2
cess. The above warranties extend only to Buyer.

3. CONTINGENCIES BFG shall not be liable in damages or otherwise for any delay or failure in performance when caused by war, fire, flood, accidents, labor troubles, government order, regulation or restriction, interruptions of transportation facilities, shortages of fuel, raw materials or finished goods or any other cause beyond the reasonable control of BFG or its suppliers. In the event BFG is unable, due to any such cause or otherwise, to fulfill any order, Buyer agrees to accept, as full and complete performance, deliveries in accordance with such allocations as BFG may make.
4. HANDLING AND USE Buyer assumes all risks and liability arising out of unloading, discharge, storage, handling or use of the product, or arising out of compliance or non-compliance with federal, state, municipal or local laws and regulations. BFG shall have no liability for the failure of discharge or unloading equipment or materials used by Buyer, whether or not supplied by BFG. Unless product sold hereunder fails to meet the express warranties set forth in the paragraph entitled "Warranties" above, Buyer shall indemnify, defend and hold BFG harmless from all costs, expenses, damages, judgments or otheF loss, including costs of investigation, litigation and reasonable attorney's fees, arising out of Buyer's selection, use, sale of fuFther processing of the product sold hereunder.
5. PAYMENT TERMS Net 30 days from date of shipment. Under such terms, payment is due at the offices of BFG or designated lock boxes no later than 30 days after shipment.
6. SUSPENSION OF CREDIT BFG may suspend credit and/or shipment of product ordered when, in its sole judgment, the financial condition of Buyer warrants such action.
7. SHIPPING TERMS F.O.B. shipping point; minimum transportation prepaid within the continental U.S.A. excluding Alaska and Hawaii.
8. RETURNS No return of product shall be allowed nor credit given unless previously authorized by BFG. Buyer shall allow BFG to inspect product prior to considering return of same. Buyer may not, for any reason, return product to BFG more than six (6) months after the original date of shipment of said product unless a complaint about that product was entered with BFG by the Buyer less than six (6) months after the date of shipment. In no case will BFG ac cept return of Buyer's obsolete inventory of made-to-order product.
9. ORDER CANCELLATION AND DEFERMENT Orders for made-to-order product may not be cancelled, delivery deferred, altered in specification, or otherwise changed by the Buyer less than ten (10) days prior to the scheduled, firm ship date established by BFG. Orders for standard product may not be cancelled, delivery deferred, or otherwise changed after shipping procedures have been initiated by BFG.
10. OVERRUNS AND UNDERRUNS BFG will attempt to manufacture and deliver the exact quantity of any product ordered. However, overruns and underruns of 10% of the ordered amount shall constitute fulfillment of all orders. For product that is ordered in boxes, a portion of the actual shipment may, because of overrun or underrun considerations, be packaged in bags.
11. SAFETY, HEALTH & INDEMNITY BFG shall furnish to Buyer Material Safety Data Sheets, including warnings and safety and health information concerning the products and/or the containers for such products sold hereunder. Buyer agrees to disseminate such information so as to give warning of possible hazards to persons who Buyer can reasonably foresee may be exposed to such hazards, including but not limited to Buyer's employees, agents, contractors or customers. If Buyer fails to disseminate such warnings and information, Buyer agrees to defend and indemnify BFG against any and all liability arising out of or in any way connected with such failure, including but not limited to liability for injury, sickness, death and property damage.
12. NO VERBAL AGREEMENTS No one in BFG's organization is authorized to make verbal agreements. It is Buyer's responsibility to insure that all agreements be in writing signed by a duly authorized representative of BFG.
13. COMPLETE AGREEMENT No modifications or additions to these Sales Terms and Conditions shall be effected by BFG's receipt or acknowledgement of a purchase order or other document containing additional and different terms or conditions.
