Dear Howard:
We have just received your check in amount of US$600.00. There was no corre spondence or application with the check.
My problem is this. Last Fall when I was advised that Automatic Metal Stamp ing was in receivership, this information was passed on to the Board of Directors. When we were advised that unsecured creditors would not be paid, the Board terminated the membership of the old Automatic Metal Stamping Co. There are two things I can do:
(1) Apply the $600 to the old receivable, in which case you would be paid through June 30, 1988. To do this I have to have the Board vote to reinstate the Membership.

(2) Have the new corporation (Automatic Metal Stamping Co. 1987 Inc.) apply for new membership. As this is a new company that would be the simplest. I would need a completed appli cation form. This is also the best for Automatic Metal Stamping as your Membership would most likely be for one year to June 30, 1989.
I've enclosed blank application forms (2) as well as a copy of your original 1980 application for the old company. Would you either (1) advise if you wish this $600 applied to the old membership account, or (2) complete and send us an application for Licensee Membership.
I'll repeat that if we reinstate the old membership you will only be paid through June 30, 1988.

On October 6, 1987, Dunwoody Limited was appointed receiver and manager of the above company pursuant to a security agreement.
Realization from the sale of the company's assets will not be sufficient to fully satisfy the indebtedness to the secured creditors and statutory lien claimants. Accordingly there are no funds available for distribution to the unsecured creditors.

This is with reference to our recent phone conversation as regards receiv ables from Automatic Metal Stamping Co., whose assets your company has purchased. I have written to Dunwoody Ltd., the receivers, concerning the balances due from Automatic Metal Stamping Co. Ltd.
This concerns Licensee Membership for Automatic Metal Stamping Co. - 1987, Inc. As I understand it, this new corporation is manufacturing automotive brake shoes. As such a manufacturer, they would be eligible for Licensee Membership in the Institute. The eligibility requirements are detailed in ARTICLE III, Section 2 of our Constitution and By-Laws. I've enclosed the following:

I believe the "Services to Licensees" write-up reasonably summarizes what is available to Licensees. As I understand that both Mr. Howard Sokoloff and Mr. Ben Uttangi are with the new corporation, they are aware of the services for Licensee Members. As noted, these are permission for use of the Institute's copyrights and trademarks in marketing brake shoes, regular technical bulletins on new brake shoe releases, access to Institute prints and catalogs, etc.
The current annual Licensee Membership Fee is US$600.00. The fee is for Licensee Membership for our fiscal year which runs July 1 to June 30. Our current fiscal year ends on June 30, 1988. As I indicated, we do not pro rate the $600 Membership Fee. However, if we receive any payment from the receivers on the fee billing which we billed Automatic Metal Stamping Co. for on July 1, 1987, we would credit it to the new company balance.

2- If your company were to apply for Licensee Membership, it should complete the enclosed application form and forward it along with your check in the amount of US$600 to the Institute. If accepted, that payment would cover Licensee Membership through June 30, 1988. If not accepted, your $600 would be returned. CONDITIONS
This order together with the acceptance by Seller and all documents, drawings and specifications referred to herein, shall constitute the con tract between Seller and Purchaser and no qualification of Seller's acceptance or oral statement of any person whomsoever shall be binding upon the parties unless stipulated and agreed to by them in writing.
CANCELLATION FOR SELLER'S DEFAULT
Should the Seller fail (1) to effect delivery on or before the specified delivery date(s) (2) to deliver goods in all respects conforming with the re quirements (3) in the due performance of each and all of the terms and conditions of this order the Purchaser may cancel this order in whole or in part with no liability whatsoever on it's part. Without prejudice to the foregoing, the Seller agrees to report promptly to the Purchaser any act or specified delays in shipment of the goods covered by this order.
INSPECTION
The goods are subject to this inspection and approval by or on behalf of Purchaser, either before or after delivery to Purchaser, and if rejected may be held at Seller's risk or expense or returned at Seller's expense. Purchaser shall be the final judge of the goods and shall be entitled at all times to have access to the plant and premises of Seller. Purchaser reserves the right to retain any portion or all of any shipment not strictly in accordance
with the specifications and in such case, will pay a reasonable price therefore, which retention shall not preclude the Purchaser from rejecting the remainder of the shipment.
APPLICATION OF ORDER
If goods furnished on this order are covered by special contract, this order is given subject to the terms of such contract, if for goods not under special contract and no specific delivery dates are specified, then the goods are to be supplied within a reasonable time in accordance with industry standards after the order is given; and the seller of any article to be used for a particular purpose undertakes, without exception, that is reasonably fit for such purpose.
CHANGES IN ORDER
Purchaser reserves the right to (1) make changes in the order (2) cancel all or any part of the order at any time, by notice in wiriting. Purchaser shall not be responsible for cost incurred by the Seller in connection with this order, after the date of receipt of the change or cancellation notice. Unless the Seller presents to the Purchaser an itemized statement of claim against the Purchaser within twenty (20) days after the receipt of not ice of such change of cancellation, the Seller shall be conclusively deemed to have waived all claims against the Purchaser with respect thereto.
PACKING AND CARTAGE
No charges for packing, boxing, crating or cartage will be allowed unless specifically authorized on the face of this purchase order. Goods
must be packed, boxed or crated by shippers so as to obtainjhe lowest freight rates failing which the purchaser reserves the right not to pay for such
charges.

COUNT
Purchaser's count will be accepted as final and conclusive on all shipments no! accompanied by a packing ticket in which event t he calculat ion on the ticket will govern.
OWNERSHIP
Unless otherwise provded herein, ownership of the goods shall pass to Purchaser when the goods are delivered into the hands of Purchaser only or its employees, but not before; the goods remain at the risk of Seller until such delivery, including any risk of deterioration of (he gorxls.
WORKMEN'S COMPENSATION It is understood that you are covered for and assume all Workmen's Compensation risks and will furnish Purchaser wit h a certificate of good
standing from the relevant Workmen's Compensation Board; Seller assumes liability for any damage to property or injury to persons caused by its servants, agents or workmen and shall indemnify and hold harmless the purchaser for any such damage or injury caused.
ASSIGNMENT This order shall not be assigned or transferred without prior written consent of Purchaser.
WARRANTY
Seller expressly warrants and agrees that there has been no violation of any trademark or patent rights, copyright, or of any law, rule or regula
tion of the Federal or any provincial government or any of their respective agencies or political subdivisions, in the manufacture, production, sale and/or shipment of the goods hereunder; and Seller will indemnify and hold Purchaser harmless from any and all costs, damages or expenses (in cluding counsel fees, and fees of expert witnesses) which may be incurred by Purchaser by reason of any claim or suit arising out of the infringe ment of any trademark, patent, right, copyright and or by reason of any claim or suit for damages brought against Purchaser, based upon any in juries or damage resulting or claimed to have resulted from any alleged infringement or defect in such goods or ingredients or part thereof.
WAIVER
Purchaser shall not be deemed to have waived any of its rights hereunder unless such waiver is in writing and signed by a duly authorized representative of Purchaser. No such waiver, unless expressly stated therein, shall be effective as to any delivery or other transaction which occurs subsequent to the date of the waiver, nor as to any continuance of a default after such date.
LAW APPLICABLE
Purchaser recognizes that Seller may, for operating convenience, wish to use its own form of sale note in acknowledgement of this order, or otherwise acknowledge it than by simple acceptance. It is understood and agreed that any provision in the form of acceptance used w hich modifies, conflicts with or contradicts any provision of this order, shall be deemed to be waived, and that this order and such acceptance const itute the whole contract between the parties. The laws of the Province of Ontario shall govern the terms of any contract resulting herefrom and any of the terms hereof shall be interpreted thereby.

Dear Mr. Uttangi:
This is with reference to your request on May 22 for certain steel disc brake shoe drawings with drill patterns.
This shipment of prints was made under separate mailing today. I've en closed a copy of the packing list and a review of each of the steel shoe drawings for which you requested drilled patterns. In many cases we did not have drilled shoe drawings for the numbers requested. We have attempted to give you the drilling information, and refer you to the listing of the nineteen (19) numbers you requested entitled "Automatic Metal Stamping Request for drilled disc brake plates."
In several cases, the original equipment steel was undrilled for either bonding or integral molding. We have suggested drill patterns from similar parts. In certain cases, the steel drawings we were provided were like silhouettes and did not have details. In those cases we have provide lining drawings to show the drill pattern. We have made individual comments on the drawings provided for each number.
If you wish additional drawings, please specifically request them by FMSI Number.

We recently received your check No. 2687 in amount of US$600.00 in payment of the annual Membership Fee for the 1984-85 fiscal year. For some reason, this check did not clear. It has been marked "Not Payable in any FRD." This apparently means not payable in a Federal Reserve District. I don't understand why it was returned but would appreciate it if you could issue us a replacement check for $600 payable in United States funds.
We will handle the check differently sending it out for collection. Your check No. 2687 is returned with the endorsements cancelled.

This is with reference to our discussion on FMSI 263 Brake Shoe (ll x 2-l/4) for Ford Motor Company.
You referred to the 263 and advised that the hole at the top (cylinder end) of the shoe web was .347/.344 diameter, and not .382/.377 as shown for our 263.
The shoe number you gave was Ford's D9AC 2220 BA. That shoe is our FMSI 482. We have been showing that 482 shoe for certain Ford-LincolrtMercury models since 1979. However, the 263 shoe, as best we can de termine, is still used on certain Ford Truck models--FlOO, F150. As you indicate these are two different shoes, and the one with the .347/.344 is our 482. I've enclosed a copy of our 482 and you will note at the bottom margin of the print the Ford Part Number D9AC 2220 BA.

As regards the Canadian Membership, Dan Easveld is correct. The Canadian Institute is completely separate from the U.S. Institute. When Doug Ogilvie was at Certified he paid for the two separate memberships and ordered through the Canadian Institute. They of course placed their orders on us and they distributed the catalogs in Canada to their members. Membership in our Institute does not provide memb ership in the Canadian Institute.
As we are completely separate, Dan is correct. Whether Automatic Metal Stamping would be eligible for Canadian Membership would be up to FMSI of Canada.

This is in reply to your letter of January 28 on drum brake shoes, asking if you could get the web and table drawings separately, in addition to the shoe assembly.
Bob, we don't have web and table drawings. . The shoes that we get
for most North American cars are from Bendix, Kelsey-Hayes, Delco
.
and the like. They intentionally remove all details that might help
another manufacturer manufacture that shoe. Most illustrations come
in with dimensions blacked out, or as separate drawings with details
not shown. When the shoe catalogs were started in the 1950's--before
my time with the Institute--all shoe drawings were artists' silhouettes
prepared by someone at Bendix. In a few cases we may receive shoe
drawings with web dimensions detailed and when we do that becomes our
drawing. However, nine out of ten do not have details, and we do not
have any separate web and table drawings.
Imported car shoe illustrations are normally made up from sample shoes that we examine. They have no details.
I'm sorry that I can't help on this one, but if you have particular shoes in mind, I could see what I do have. .

I am enclosing a copy of the Institute's "1980 Brake Shoe Identification Catalog" along with a copy of Shoe Bulletin #96, (the only Shoe Bulletin issued since publication of the 1980 catalog). All shoe prints that we have on file are available to you, but I wish to point out that many shoe illustra tions are silhouette drawings only. In some cases the Illustrations were made up from sample drawings or from the actual shoe itself and many of these illustrations do not have manufacturing details. This is especially true for most of our drum brake shoes. Where we have factory drum brake shoe drawings. In some cases details on the web have been removed by the brake shoe manufacturer.
We will put your name on our mailing list for technical bulletins and catalog information and items of that nature. If there is anyone else at Automatic Metal Stamping who should be on our mailing list, please let me know.
The Institute's fiscal year runs from July 1 through June 30 so that your prepayment of the fee will be applied through June 30, 1981. If there is any information you need, please let me know.

We provide Licensees with up-to-date information on net/ brake shoes (which includes disc brake plates). This is done through technical bulletins. We publish Catalogs which Members and Licensees can purchase for use by their customers. We assign standard PMSI numbers to lining and shoes. Bulletins and catalogs on net/ brake shoes and on vehicle application for brake shoes are available to Licensees.
Most brake shoe suppliers use our copyrighted numbering system and the FMS and FMSI Numbers to identify parts on price lists, catalogs, sales litera
ture, etc. The system was set-up to help suppliers, rebuilders, and in stallers in the aftermarket. As indicated the ntmbers and system are copy righted and FMS and FMSI are registered trademarks of the Friction Materials Standards Institute, Licensees are given permission to use FMSI nunhers on their products, sales literature, etc.
The current annual fee for a Licensee is $550. While we have maintained a stable dues level for several years, there is always the possibility of Increases in the futuee.
