("Crown") on the basis ofthe Act ofDecember 17,2001 [Senate Bill 216] entitled, "LIMITATIONS ON ASBESTOS-RELATED LIABILITIES RELATING TO CERTAIN MERGERS OR CONSOLIDATIONS", 15 Pa.C.S.A. 1929.1 (the "Statute"). At Your Honor's direction, this Motion is "Global" in nature, encompassing all cases currently pending against Crown in the Philadelphia Court of Common Pleas. A Statement ofthe cases pending by Plaintiffs' Law Finn is attached hereto as Exhibit "A." The Statute Imposes Limitations on Asbestos-Related Liabilities Relating to Certain Mergers or Consolidations On December 17,2001, Governor Mark Schweiker signed a law that varies the remedies available to plaintiffs alleging asbestos-related liabilities of Pennsylvania Corporations that acquired such liabilities solely as a result of a merger or consolidation. 15 Pa.C.S.A. 1929.1. This alteration ofremedies available is based on the value ofthe acquired corporation. The Statute was made effective immediately. A copy ofthe Statute is attached hereto as Exhibit "B". As explained in detail below. Crown has already paid (or is obligated to pay) an amount well in excess ofthe remedy limitation created by 1929.1. Accordingly, because the Statute precludes the plaintiffs who are subject to the instant Motion from recovering any damages remedy from Crown, 1929.1 obligates the Court to dismiss these asbestos-related claims as to Crown. B. Crown's Acquistion of the Mundet Corporation Leads to Allegations of Successor Liability Crown is incorporated in the Commonwealth ofPennsylvania and employs approximately 1,000 people in three facilities in Philadelphia, York, and Fayette Counties. Crown employs over 36,000 people and has operations in fifty countries worldwide. Crown is the world leader ofpackaging products for consumer goods. Crown manufactures one out ofevery five beverage cans used in the world and one ofevery three food cans used in North America and Europe. Crown's worldwide headquarters are 3578W , Obermayer Rebmann Maxwell & Hippel u.p Honorable Allan L. Tereshko February 7,2002 Page 3 ( located at 1 Crown Way, Philadelphia, Pennsylvania. Crown has never been in the business ofmanufacturing, installing, selling, distributing, or otherwise marketing any asbestos or asbestos-containing product. (Affidavit ofRichard L. Krzyzanowski, * hereinafter "Krzyzanowski Aff," Exhibit "C," H2). In 1963, Crown was the nation's largest producer and seller of metal bottle caps, known in the industry as "crowns," and also produced beverage cans. (Krzyzanowski > Aff., Tj3). At the same time, Mundet Cork Corporation ("Mundet Cork") was engaged in a similar business and was the nation's sixth largest producer and seller ofmetal crowns > ("crowns"). (Krzyzanowski Aff., f3). Mundet Cork had two different divisions: (1) the "closure" .division, which manufactured crowns; and, (2) the "insulation" division, which manufactured, sold, and installed insulation products. (Krzyzanowski Aff, f8). Only the "insulation" division had any connection with asbestos. Crown was interested in acquiring the assets associated with Mundet Cork's ^ "closure" division for two reasons: 1) to acquire Mundet Cork's crown customers; and, 2) to acquire.the North Bergen, New Jersey plant location, which was conveniently close to Crown's New York customers. (Krzyzanowski Aff, Tf3). The "closure" division at no * time had anything to do with asbestos. When Joseph J. Mundet, the principal shareholder ofMundet Cork, died, the executors of his estate offered his shares for sale. (Krzyzanowski Aff., ^3). Because the > executors ofthe Mundet Estate could not sell the closure division separately. Crown acquired the desired assets in the only manner it could: by a stock purchase ofthe ^ majority ofMundet Cork stock, followed by the sale by Mundet Cork to a third party of the undesired assets (Le. the insulation division). Tereshko February 7,2002 Page 4 Crown purchased the majority ofthe capital stock ofMundet Cork in November of 1963. (Krzyzanowski Aff., |4). Crown never intended to operate Mundet Cork's insulation division or to manufacture, sell, distribute, or install insulation products, and Crown never did so. (Krzyzanowski Aff., ^2,3,9,10,11,13). Instead, prior to Crown's acquisition of the majority ofMundet Cork's stock, Mundet Cork shut down the insulation manufacturing operations. In furtherance of Crown's intent to purchase only Mundet Cork's crownrelated assets, on February 8,1964, less than ninety (90) days after Crown's acquisition of an interest in Mundet Cork, Baldwin-Ehret-Hill ("B-E-H") purchased Mundet Cork's insulation division. (Exhibit 3 Krzyzanowski Aff.). Under the terms of the purchase agreement, B-E-H acquired the assets, books, records, employees, equipment, finished goods, trademarks, licenses, raw materials, and post purchase liabilities ofMundet Cork's insulation division. (Krzyzanowski Aff., fllO-11; February 8,1964 Bill ofSale and Assignment, Exhibit 3 to Krzyzanowski Aff. Tj2-4). Within the next two years. Crown acquired virtually all ofMundet Cork's stock. On February 10,1966, Crown filed a "Certificate ofMerger ofMundet Cork Corporation Into Crown Cork & Seal Company, Inc." (Exhibit 1 to Krzyzanowski Aff), which effectively transferred the remaining assets ofthe asbestos-free Mundet Cork into Crown. On March 30,1989, Crown was reincoiporated in the Commonwealth of Pennsylvania and consolidated through merger on May 1,1989. (Articles of Incorporation, Exhibit 2 to Krzyzanowski Aff). Notwithstanding its complete lack of involvement in the asbestos insulation business. As set out below, to date Crown has paid, or has committed to pay, over Three Hundred Thirty-Six Million Dollars ($336,000,000) for asbestos-related claims. (See Affidavit of Alfred J. Dermody, Manager ofBudget and Planning of Crown, hereinafter "Dermody Affi," Exhibit "D," 4) .Significantly, in every case subject to this Motion, Crown has been sued solely as the successor to Mundet Cork. At no time in any ofthese cases has there been any * evidence produced that Crown, independent of successor liability for Mundet Cork, had anything to do with asbestos. II. LEGAL ARGUMENT A. Summary Judgment Standard ( A party is entitled to summaryjudgment upon a showing that no genuine issue as to any material fact exists and "it is clear that the moving party is entitled to judgment as a matter of law." Skioworth v. Lead Indus. Ass'n. Inc.. 547 Pa. 224,230, 690 A.2d 169, 171 (1997): see also Pa. R. Civ. P. 1035.2. In opposing a motion for summaryjudgment, "[t]he non-moving party must demonstrate that there is a genuine issue for trial and may not rest on averments in its pleadings." Davis v. Resources for Human Dev.. Inc.. 770 i A.2d 353,357 (Pa. Super. 2001). Further, the non-moving party must put forth sufficient evidence on the essential issues ofhis case such that ajury could return a verdict in his j favor. Failure to do so establishes that there is no genuine issue of material fact and that the moving party is entitled to judgment as a matter of law. See Ertel v. Crown is Entitled to Summary Judgment Because its Payments for Successor Asbestos-Related Liabilities Far Exceed The Statutory Limit Set Forth in 15 Pa.C.S.A. 1929.1 1. The Statute Section 1929.1 limits the remedies available to a plaintiffalleging successor liability as to a Pennsylvania corporation for asbestos, resulting from the corporation's merger or consolidation with another company. The remedy is limited, in the aggregate, to the fair market value of the assets of the merger partner that "donated" the asbestos liability. Once a corporation has paid out for any asbestos-related claims an amount equal i to the fair market value of the assets ofthe transferor, as a matter of law plaintiffno longer has a damages remedy for alleged successor asbestos-related liability. i As set out below. Crown has paid out (or is obligated to pay) an amount far in excess ofthe limitation created by 1929.1. Accordingly, it is entitled to summary judgment. 2. Crown Acquired Mundet Cork, Whose Fair Market Value At The Time of the Merger, Adjusted for Inflation, Was S50-$55 Million. > Crown is a domestic business corporation, incorporated in this Commonwealth prior to May 1,2001. (Exhibit 2 to Krzyzanowski Aff.). On February 10,1966, Mundet Cork was merged into Crown. (Merger Documents dated February 10,1966, Exhibit 1 to > Krzyzanowski Aff.). For purposes ofthe Statute, "fair market value" may be established "through any method reasonable under the circumstances." 15 Pa.C.S.A. 1929.1(c)(1). "Once a reasonable determination ofthe fair market value ... has been thus established by a domestic business corporation, a claimant disputing that determination of value shall then have the burden of establishing a different fair market value." 15 Pa.C.S.A. 1929.1(c)(2). Crown retained as an expert Kevin P. Collins, the Managing Director in charge of > the valuation practice in the New York office ofHoulihan Lokey Howard & Zukin Financial Advisors, Inc.("Houlihan Lokey"). Mr. Collins and Houlihan Lokey are experts in business and security valuation. Mr. Collins' affidavit (Exhibit "E") and his expert Report (attached to the affidavit) conclude that the fair market value ofthe assets ofMundet at the time ofits merger into Crown was in the range of$11-$12 million. Under the Statute, the valuation as ofthe time ofthe merger is to be adjusted by an inflation factor equal to the prime rate for each calendar year since the merger, plus 1%, but not compounded. 15 PaC.S.A. 1929.1(cX3)(ii). The adjusted annual figures are listed in the Houlihan Lokey Report at page 23. As ofDecember 31,2001, the I adjustment produces a figure in the range of$50 million to $55 million. > > 357892 Obermayer Rebmann Maxwell & Hippel llp t Honorable Allan L. Tereshko February 7, 2002 Page 8 , 3. Crown Has Paid Far In Excess Of $50 To $55 Million. The adjusted valuation figure of $50 to $55 million is a cap on the aggregate ^ remedy available to plaintiffs for Crown's asbestos-related liabilities as a successor to Mundet Cork. As set forth in the Dermody Affidavit (Exhibit "D"), Crown's cumulative asbestos-related payments exceeded $336 million as of December 31,2001. Thus, the * cumulative amount Crown has paid or assumed for successor asbestos-related liabilities far exceeds the fair market value ofMundet Cork at the time of the merger. 4. The Statute Bars Plaintiffs' Claims. > Section 1929.1 varies the remedy for asbestos-related successor liabilities, which are defined to include any asbestos liabilities, "known or unknown, asserted or unasserted, absolute or contingent, accrued or unaccrued, liquidated or unliquidated or due or to become due." Such liabilities include those related "in any way to asbestos ^ claims." 15 Pa.C.S.A. 1929.1(e). Asbestos claims, m turn, are defined to include "any claim, wherever or whenever made, for damages, losses, indemnification, contribution or other relief arising out of, based on or in any way related to asbestos, including ... the health effects of exposure to asbestos, including any claim for personal injury, death, mental or emotional injury...." 15 Pa.C.S.A. 1929.1(e). The term also includes any claim made by or on behalfofany representative, spouse, parent, child or other relative ofan exposed person. Id. The statute provides that the limitation on liability "shall apply to all asbestos claims, including existing asbestos claims, and all litigation, including . existing litigation." 15 Pa.C.S.A. 1929.1(d)(2). 357892 Obermayer Rebmann Maxwell & Hippel llp Honorable Allan L. Tereshko February 7, 2002 Page 9 All the cases that are the subject of the instant Motion come within the Statute's broad definition of "asbestos claims." Accordingly, 1929.1 obligates the Court to grant summary judgment in Crown's favor. See Skipworth v. Lead Indus Ass'n. Inc.. 547 Pa. 224,230,690 A.2d 169,171 (1997): see also Pa. R. Civ. P. 1035.2 Crown has already paid an amount vastly in excess of the limit created by 1929 1. Accordingly, plaintiffs no longer have a damages remedy for their claims against Crown. III. Title IS-of the Pennsylvania Consolidated Statutes is amended fay adding a section to read; 5 1929.1. limitations on aoheoto*--related liabilities relating to certain aergrern or consolidations. } (a) limitation on successor asbestos-related liabilities.-- (1) S.xcept as furfcheir limited in paragraph (2), the cumulative successor asbestos-related liabilities of a domestic business corporation* that was incorporated in this Commonweal eh prior to May i, 2001, shall be limited to the fair market value e the total assets of the transferor determined as of the the of the merger or consolidation, and I such corporation shall have no responsibility for successor asbestos-related liabilities in excess of each limitation. (c) Fair market value of total assets.-- ) (1) X domestic business corporation may establish the fair market value of total assets through any method reasonable under the circumstances, including by reference to the going concern value of such assets or to the purchase price attributable to or paid for such assets in an arm's length transaction, or, in the absence of other readily | available information from which fair market value can ha determined, by reference to the value of such assets recorded on a balance nheot. Total assets shall include intangible assets. X shoving by the domestic business corporation of a reasonable determination of Che fair market value of total assets shall be prime facia evidence of their fair market value. | (2) Once a reasonable determination of the fair market value of total assets has been thus established by a domestic business corporation, a claimant disputing that determination of value shall then have the burden of establishing a different fair market value of snob assets. (3) For the purpose of adjusting the limitations sat forth in subsections (a) and (b) to account for the passage | of time, the fair market value of total assets at the time of a merger or consolidation shall be increased annually until the earlier oft (i) the date of the settlement, judgment or other discharge to which the limitations in subsection (a) or (b) are being applied; or (ii) the date cm which such adjusted fair market * value is first exceeded by the cumulative amounts paid or committed to be paid by or on behalf of the corporation, or by or on behalf of a transferor, after the time of tha merger or consolidation as to which the falx market value of total assets is determined for purposes of subsections (a) and (b) in connection with settlements, judgments or I other discharges of tha successor asbestos-related liabilities; at the rate e&ual to the prism rata as listed in the firet edition of the Wall Street Journal published for each calendar year since such merger or consolidation, plus 1*8, not cexpounded(dJ Application.-- | (1} The limitations set forth in nubseetioae (a) and (b) shall apply to mergers or consolidations effected under the lawn of this Commonwealth or another jurisdiction consumaatad prior to Hay 1, 2001. (1) The limitations set forth in subsections (a) and (h) shall not apply to any claim against a domestic business corporation that doec not Constitute a successor asbestosrelated liability. (S) Thin section shall not apply to an insurance corporation as defined in section 3103 (relating to definitions). (6} The limitations set forth in subsections (a) and (b) shall not apply to any obligations arising under the national labor Relations Act (49 Stat. 449, 29 tJ.S.C. S 151 et Seg.) or under any collective bargaining agreement. (a) ^Definitions.--Ae used in this section, the following words and phrases shall have the meanings given to them in this subeectiont '`Asbestos claim.* hoy claim, wherever or whenever made, for damages, losses, indemnification, contribution or other relief arising out of, based on or in any way related to asbestos, including property damage cauaetd by the installation, presence or removal o asbestos, the health effects of exposure to asbestos, including any claim for personal injury, death, mental or emotional injury, risk of disease or other injury or the costs of medical monitoring or surveillance. Tbs term shall also include any claim made by or on behalf of any parson exposed to asbestos or any representative, spouse, parent, child or other relative of any such parson. 'Successor asbestos-related liabilities. Any liabilities, whether known or unknown, asserted or unassorted, absolute or contingent, accrued or unaccrued, liquidated or unliquidated or due or to bacon due, related in any way to asbestos claims, that were assumed or incurred by a domestic business corporation or foreign business corporation as a result of or la connection with a merger or consolidation, or the plan of merger or consolidation related thereto, with or into another domestic business corporation or foreign business corporation effected under the lawn of this Commonwealth or another jurisdiction or which are related in any way to asbestos claims based on the exercise of control or the ownership of stock of such corporation prior to euch merger or consolidation. The term shall also Include liabilities which, after the time of the merger or consolidation ae to which the fair market value of total assets is determined for purposes of subsections (a) and (b), were or are paid or otherwise discharged, or committed to be paid or otherwise discharged, by or on behalf of the corporation, or by or on behalf of a transferor, in connection with settlements, judgments or other discharges in this Commonwealth or another jurisdiction, "Transferor. " A domestic business corporation or foreign business corporation from which successor asbestos-related liabilities are assumed or incurred. Section 2. Section 5524 of Title 42 is amended by adding a paragraph to read: 5 5524, Two year limitation. Section 3. Section 8J2B of Title 42 is amended to reads 5 $128. Transfer of claim to avoid policy of Commonwealth. {a) General rule.--it shall be unlawful for any creditor or obligee to cooraonco an action on or to transfer any claim against, u. resident of this Commonwealth for tho purpose of having such claim collected by proceedings in a forum which accords such resident less favorable exemptions from attachment or execution than are accorded by this Commonwealth, or for the purpose of depriving such resident of the right to have his personal earnings while in the liands of his employer exempt from apy*lScation to the payment of his debts. (b5 Remedy.--In addition to remedy by injunction or otherwise, a resident of this Commonwealth who is aggrieved by any action by n creditor or obligee in violation of subsection (a) shall have a right of action against Che creditor or obligee for treble the amount recovered from such resident in violation of this section and reasonable counsel fees. The transfer of any claim against Che resident and the commencement of any action thereon outside this Commonwealth shall be prima facie evidence of a purpose to violate the provisions of subsection (a).
