5.22 Whitman Notification. Seller shall use all reasonable efforts to, prior to August 29, 1998, notify Whitman in accordance with the requirements of the Whitman Agreements of all claims or causes of action of which Seller has received written notice that are subject to indemnification under Sec tion 12(b)(v) of the Whitman Stock Purchase Agreement.
ARTICLE VI Employee Matters
Section 6.1 Representations Regarding Employee Ben efit Plans. (a) Schedule 6.1(a) identifies each "employee benefit plan", as such term is defined in Section 3(3) of ERISA that provides welfare, retirement or deferred compensation benefits and each bonus, incentive compensation, deferred com pensation, severance, change of control, retention, stock op tion, other equity-based, performance or other employee benefit plan, program, agreement or policy that provides benefits or compensation in respect of any employee or former employee of Seller employed or formerly employed in the operation of the Business (collectively, the "U.S. Employees11) and that is maintained by Seller or to which Seller contributes or is a party (collectively, the "U.S. Plans11) . With respect to each such U.S. Plan, Seller has provided Buyer copies of: all written Plans; all trust agreements; the most recent actuarial report, if any; the most recent IRS Form 5500, if any, and all
