Minutes of Regular Meeting of the aoerd of Directors of National Lead Company held at 111 Broadway, New York City, on Thursday. June 17. 1926, at 10 o' clock A. M. Present: Messrs. Beale, Beschorman, Brodrick, Carter, Cornish, Field, Gregg, McCarty, Rockwell, Gidford, Taylor and VJettstein. Absent: Messrs. Carpenter, Dorsey and Thompson. The minutes of the regular meeting held May 20, 1926, were read and duly approved. On separate motions the following resolutions were each unanimously adopted, the roll being called where the expenditure of money was involved. RESOLVED, that the following actions of the Executive Committee be and they hereby are approved. Approving ex penditure of $4,000. by National Lead & Oil Co., of Pa., for purchase and in stallation of six additional test bottoms for Oxide Depart ment at its Sterling Works. Appropriating $2,895. for purchase and installation of new 100,000 gallon oil storage tank at Hirst & Begley Linseed Works. Granting a pension of $60. a month effective June 1, 1926, to Aloert W. Wysocki, former employee of Jewett Works, Atlantic Branch. Authorizing continuation of pension of $30. a month to Mary Ann Bateman for the period July 1, 1926, to June 30, 1927. RESOLVED, that the affixing of the seal of the Company to the following documents be and it hereby is approved and confirmed. Chicago Branch Certified copy of Directors' resolution of May 20, 1926, authorizing E. A. de Cainpi to draw against bank account of Chicago Branch with Continental Commercial National Bank. St. Louis Branch Lease in duplicate from International Building Company dated May 14, 1926, covering office space in International Life Building, 5t. Atlantic Branch Agreement with Carbofractor Corporation dated June 16, 1926, in duplicate, in re installation of additional Carbofractor equipment at Crooke VJorks, Atlantic Branch. The following minute on the death of Hugh J. McBirney, prepared by Mr. Rockwell, was unanimously adopted: Hugh Johnston McBirney, Assistant Manager of the Chicago Branch, passed away in Chicago on May 29th, 1926, and was buried at Lake Forest, 111. He is survived by his wife and two daughters, Mrs. J. T. Ryerson and Mrs. H. B. Stimson. Mr. McBirney was born in Cincinnati, January 19th, 1853. He attended Yale University, taking a prominent part in athletics and was graduated in 1875. In 1879, Mr. McBirney went to Chicago, and was one of the founders of the McBirney & Johnston VJhite Lead Company. In 1885 the Company consolidated with the Southern White Lead Company of St. Louis, of which Mr. McBirney became Secretary. In 1894, Mr. McBirney was made Assisfant Manager of the Chicago Branch of the National Lead Company, which position he held until the time of his death. From the time the mixed metal business was started in Chicago, Mr. McBirney had charge of it and guided its destiny. Besides his business activities Mr. McBirney had many civic interests, which have contributed not a little to the development of the City of Chicago. He was at one time president of the University Club, Onwentsia Club, and the Chicago Lying-In Hospital and a member of the Cliff Dwellers and Yale Clubs, taking an active part in the development and conduct of these and other civic enterprises. 0000-NLT-000021762 \ Mr. McBirney had a very wide acquaintance in Chicago and leaves a host of friends. He was a man of genial and even tempered disposition, being always willing and ready to help and assist in a generous way those in need. Mr. McBirney*s loss will be keenly felt by his friends, fellow workers, and business associates. RESOLVED, that the following be and they hereby are appointed officials of the Chicago Branch of the Company according to the office set opposite their respective names, with all the powers and duties incident to such offices as heretofore prescribed by resolutions of this Board or of the Executive Committee: Eliodoro A. de Campi, Assistant Manager Frank A. Gregory, Jr. Assistant manager George J. Tehle, Comptroller Grover Err.ond, Assistant Comptroller. RESOLVED, that effective June 21, 1926, and superseding all previous authorizations, the following be and they hereby are authorized to sign and countersign all checks against the bank account of National Lead Company, Chicago Branch, with Continental Commercial National Bank: for signature, Charles &. Field as Manager, Eliodoro A. de Campi as .Assistant Manager and Frank A. Gregory, Jr. as Assistant Manager, any one of them; and for countersignature, George J. Tehle as Comptroller and Grover Emond as Assistant Comptroller, either one of them. RESOLVED, that Dwight R. Norris be and he hereby is appointed Manager of the Traffic Department in succession to 'V. S. Mellen, deceased. RESOLVED, that the sum of $4500. be and it hereby is appropriated for building new arches and other biick work find for replacing furnace pans for No. 3 and No. 4 mechanical oxide furnaces at St. Louis Lead & Oil Works, St. Louis Branch, in conformity with letter of Mr. Ceorge B. Gilmore, Superintendent, dated June 4, 1926. RESOLVED, that the sum of $675. be and it hereby is appropriated for erection of new elevator gates on oxide mill freight elevator and while lead mill elevator at St. Louis Lead & Oil 'Works, St. Louis Branch, in conformity with letter of Mr. ueorge B. Gilmore, Superintendent, dated June 4, 1926. RESOLVED, that the sum of $1600. be and it hereby is appropriated for repairs to deck lighter "Dutch Boy", Atlantic Branch, in conformity with letter of Mr. H. G. Aub dated March 19, 1926, payable either forthwith or at the approximate rate of $2500. per year as may be called for. RESOLVED, that the officers of the Company be and they hereby are authorized and directed to contribute the surn of $100. toward the proposed budget of Manufacturing Chemists Association of the United States for the year ending May 31, 1927. RESOLVED, that the officers of the Company be and they here by are authorized and directed to contribute the sum of $500. a year toward the work of National Industrial Conference Board for the three years beginning July 1, 1926. RESOLVED, that the action of the officers of the Company in acquiring in its name a sustaining membership in the National Safety Council for the year ending May 15, 1927, at an expense in dues for such membership of $1000., be and it hereby is approved. RESOLVED, that effective June 18, 1926, all checks, drafts or other debit orders against the account of this corporation with Guaranty Trust Company of Nev; Fork, London, be authorized by the signatures of the President or a Vice President or an Acting Vice President with the Treasurer or an Assistant Treasurer, all cable instructions to be transmitted through Guaranty Trust Company, New York, over the signatures above specified. RESOLVED, that the concentration of the business of National Lead Company of Massachusetts and of Chadwick-Bcston Lead Company as proposed by the Special Committee appointed at the March me ting of this Board and embodied in memorandum dated June 3, 1926, be and it hereby is generally approved, the working out of details to be in the hands of Mr. A.
