Subject: STABILIZER PURCHASE - SALES AGREEMENT WITH CARTER WHITE LEAD COMPANY The agreement with Carter should cover the following points: 1. Carter is to enjoy royalty-free license to make the stabilizers they will manufacture. 2. C.T.P. will act as exclusive customer for all Carter stabilizer production. Carter will not sell or transfer stock to anyone else. 3. Carter is responsible for producing material of acceptable specifi cation. 4. Accepted finished stocks are to be turned over to C.T.P. at the Canadian Carload price less the agreed differential. 5. Shipments are to be made only in the name of C.T.P., and on specific delivery instructions from C.T.P. Order Desk, (in this Carter will operate as would a public warehouse). 6. C.T.P. will handle all sales, invoicing, freight costs, credits. 7. Returns for quality reasons or other reasons in their control, will be charged back to Carter. 8. Carter's use of 45X or other material supplied through C.T.P., will be subject to audit. 9. C.T.P. will give estimates of product requirements and set inventory limits for stocks - both upper and lower. 10. C.T.P. will protect Carter from patent infringement suits (7) 11. Packages, labels, and package weights will be specified by C.T.P. and package weights maintained, plus or minus#&25%.
