Victor Abnee, Jr./ Executive Vice President SGP 0006800 MINUTES BOARD OF DIRECTORS MEETING SHERATON-BLACKSTOME HOTEL CHICAGO, ILLINOIS April 5. 1973 The meeting was called to order at 9:00 a.m. by Mr. W. D. Herbert, Chairman of the Board of Directors. Those in attendance were: W. D. Herbert C. E. Abbey G. E. WiIson E. J. Killian T. E. Armstrong, Sr. A. J. V/att R. B. Cartwright A. V. United States Gypsum Company Legal Counsel Gypsum Association Mr. Herbert announced that Mr. M. C. Carpenter had requested Abbey to represent his company at the meeting. MINUTES OF THE LAST MEETING On motion duly seconded and carried, the minutes of the last meeting as submitted to the Board of Directors, were approved as recorded and distributed by the secretary. EXECUTIVE COMMITTEE REPORT Mr. Herbert, Chairman of the Executive Committee, reported that no action had been taken by the Executive Committee since the last meeting of the Board of Directors. ELECTION OF EXECUTIVE COMMITTEE Mr. Herbert announced the following directors had been nominated to serve on the Executive Committee for the ensuing year by Mr. M. C. Carpenter, Chairman of the Nominating Committee: T. E. Armstrong, Sr., Chairman R. A. Costa W. D. Herbert A. J. Watt G. E. WiIson . There being no further nominations and on motion duly seconded and unanimously carried, the above directors were elected to the Exec utive Committee. SGP 0006801 2- REVI El/ OF COMMITTEE RECOMMENDATIONS While the reports and activities of the various standing committees had been accepted during the membership meeting on the previous day, the Board of Directors reviewed and acted upon such matters that pertain to budget and policy decisions. The Safety Committee's request for funds to produce a fork lift truck training*movie was reduced to script preparation funds of $2C0. The committee was asked to make a strong request of OSHA and to associations end manufacturers in the fork lift truck industry to participate in the production of the film. The request for funds to conduct a field test program to determine the level of asbestos fibers in the mixing and sanding operations of joint com pound was approved. The Safety Committee was also asked to coordinate with the Association staff a letter-writing campaign indicating to the proper Federal authorities that jurisdiction under the Federal Metal and Non-metal lie Mine Safety Act remain in the Bureau of Mines, Department of the Interior, rather than be transferred to OSHA. The Manufacturing and Mining Committee's report on the subject of marking of gypsum wall board was discussed and it was the cohsensus that this subject be tabled pending the investigation by each director within his company. The Building Code Committee's report on the reaction of building officials throughout the country on third party certification of building products and their request for clarification of type X type wallboards were discussed in detail. The directors will review these subjects within their companies and be prepared at the next meeting for a discussion with particular emphasis to ascertain if there might be possible Association activity in a self-certification program. The request for a permanent Gypsum Association staff man to headquarter in`\7ashington, D.C. was approved and the secretary was directed to carry out this request with the best possible co ordination with the conclusion of our participation in the National Bureau of Standards Research Associate program. The request for funds to initiate a fire and sound testing program from the Technical Committee was approved as submitted in the proposed budget. As the test program progresses, the need for addi tional funds should be made to the Executive Committee or at the Semi annual Meeting. The Technical Committee was requested to re-examine the individual proposed fire and sound tests and asked to submit the priority of tests to all member companies prior to the initiation of the program. SGP 0006802 3- The need for Association activity in the area of consumer product liability was discussed and each director will pursue this within his company. In the meantime. Association legal counsel and Staff will advise the membership on any appropriate information during the next six months. The request to drop the subject of gypsum wallboard used in rehabilitation construction frcm the agenda was approved. The request for the Association to commemorate the memory of John A. Robertson was discussed and the secretary was asked to present a properly inscribed gift to Mr. Robertson's family, indicating his outstanding contribution to the entire industry. No action was taken on the request to appoint a special task force for the OSHA regulations. In the meantime, the staff and legal counsel were asked to concentrate on all activity in the OSHA area and disseminate the information to the proper membership personnel most appropriate to deal with the individual regulations. The request from the Promotion Committee to retain a public relations firm was denied. It was the consensus that the theme "Balanced Protection" was most appropriate to be directed to important trade factor specifiers and authorities in the field. The sum of $1500 for prep aration of a major presentation to be made to architects and building officials was approved. Because of the very low priority of consumer films and public relations that was indicated in the Board of Directors task force pro gram, the sum of $7500 that had been requested for updating our film program was disapproved. TASK FORCE ACTIVITIES Mr. A. J. Watt, Chairman of the special task force, reported on this activity. He recommended that during the next six months the task force concentrate on the structure of committees within the Associa tion and that a report be made to the membership at the Semiannual Meeting in October 1973. On motion duly seconded and unanimously passed, this study will go forward. NEW BUSINESS Mr. C. E. Abbey presented a proposed program for the Associa tion to conduct an industry-wide exhibition of its products for the membership of contractor associations using our products. It was the consensus that the Promotion Committee once again investigate the possi bility of de-emphasizing the number of exhibits requiring our member ship attendance. It was also suggested that the Association may have industry-wide exhibits and eliminate the need for individual member company exhibits. The staff, along with the special task forces from the Promotion Committee having the responsibility of liaison with iaWCC and GDCI, should request the sub-contractor membership to join with us on more technical and building code programs furthering the use of our products. SGP 0006803 -4- FINANCIAL MATTERS On motion duly seconded and unanimously passed, the proposed 1973-74 budget as revised by the action of the Board of Directors was approved, and an assessment of 3 1/2c per ton based on 1972 tonnage was levied against the membership, one-half to become due and payable April 15. 1973. The time and location of future Semiannual Meetings for the next four years was discussed and the schedule as published in the Annual Report was approved. ADJOURNMENT There being no further business to come before the Board of Directors of the Gypsum Association, on motion duly seconded and unanimously passed, the meeting was adjourned.
