Minutes of annual meeting of stockholders of Rockbestos Products Corporation, held at the principal office of the corporation. Room No. 366, No. 200 Devonshire Street, Boston, Massachusetts, on the 9th day of February, 1926, at lltOO o'clock in the forenoon. ' Mr. A. G. Newton, President of the corporation, acted as Chairman of the meeting and presided. Mr. F. L. i^ of ni--nvtBSn The Clerk presented a copy of the notice of the meeting, together with an affidavit of the mailing of the notice to the holders of the preferred stock and an affidavit of the mailing- of the notice to the holders of the common stock. The notice and affidavits were approved and ordered filed with the records of the corporation. The Clerk presented an alphabetical list of the holders of preferred stock as of the close of business on January 29, 1926, duly certified by The First National Bank of Boston, Transfer Agent for the preferred stock of the corpora- t tion, together with a farther certificate by said Transfer Agent to the effect that no transfers of preferred stock had been made since the date of the list. The Chairman stated that 3,000 shares of preferred stock and 10,000 shares of common stock were issued and outstanding. He stated further that 2,091 shares of preferred stock and the entire 10,000 ahares of common stock were represented hy /proxy and that a -quorttt was present. i There "being no further nominationsi the nomina-" tio'ns -were closed 'and a vote by "ballot of the holders of common stock was taken, ihe" ballots having been duly cast and counted the Chairman stated that the holders of 10,000 shares of common stock had voted in favor of the election of C. 3..Sly, 0. G. Jennings, J. F. BeClelland, A. G. Hewton and C. Brooman White, and that the same had been duly eleeted-direetors for the ensuing year by the holders of the common stock. The Chairman stated that the holders of common stock should elect a Treasurer and a Clerk of the corporation for the ensuing year, end called for nominations for the office of Treasurer. I. S."Charlotte was thereupon nominated as Treasurer. There being no further nominations the nominations were closed, and a vote by ballot of the holders of the common stock was taken. The ballots having been duly cast and counted, the Chairman stated .that the holders of 10,000 shares of common stock had voted in favor of the election of I. H. Charlotte, and that he had been duly elected Treasurer of the corporation for the ensuing year. The 4iairman then (ailed for nominations for the office of Clerk. F. L. Auld was thereupon nominated as Clerk.
