Carlisle, McClellan and Rhorer, it has been agreed that Ethyl Corporation will obtain an option to purchase the Lindane plant and BHC storage building (see Exhibit "A") for the sum of twenty-five thousand ($25,000) dollars. This option is effective May 15, 1955 and can be renewed every 30 days. The cost of such option to Ethyl shall be at the rate of one thousand ($1000) dollars for each thirty-day period. However, should Ethyl decide to buy the plant at any time, all option money shall be credited against the original purchase price. It is further understood that, should Ethyl decide not to excercise the right to purchase, the completion date for all dismantling and demolition shall be 30 working days from the date of such decision. Since we understand that Nichols Construction Company holds title to the buildings and services only, any transaction for the purchase of the jet refrigeration unit (JR-2) will be negotiated directly with Brill Equipment Company. Carlisle E--09697 EXHIBIT MA" DEMOLITION OF AGRICULTURAL CHEMICAL PLANTS Facilities to be Retained under Option to purchase 1. All pipe, equipment, etc., to be removed from the Lindane structure except the following: a. All lights, lighting conduit, power conduit and switches to remain in place. b. Sprinkler system to remain in place. c. Ventilation and heating systems to remain in place. d. Control room to remain as is, except for centrifuge timers and remaining instruments in.panel. e. Centrifuge foundations to remain in place. f. The pipe rack and all utility headers, north side of building, to remain in place. Any process pipe on this rack to be removed. All pipe from utility headers into the building to be disconnected at the headers. g. All tank foundations and dike wall to remain in place in the area immediately adjacent to the north side of the Lindane structure. The tank foundations for the two TCB product tanks and slop tank immediately west of the TCB plant-to remain in place. All tank foundations and dike wall in the tank farm area west of the BHC plant to remain in place. h. Overhead crane and controls to remain in place. 2. Refrigeration unit JR-2 and all connecting piping to the unit and to and from the Lindane structure to remain in place. 3. Pipe supports and utility lines from the Mannheim road east to the BHC plant, thence north to Lindane to remain in place. 4.
