Chase-Park Plaza Hotel St. Louis. Missouri April 9-10, 1970 The annual meeting of the members of the Lead Industries Assotion, Inc. was held on Thursday and Friday. April 9-10, 1970 at the Chase Park Plaza Hotel, St. Louis, Mo. Those in attendance are listed in Appendix "A." (1) Business Session The Thursday afternoon, April 9, 1970 business session was conducted by President Simon D. Strauss with David M. Borcina as secretary. a. The Secretary reported a quorum was present. b. The Secretary presented a copy of the notice of meeting and agenda which had been mailed to each member, as provided in Section 2.04 of the Corporation's By-Laws. The copy was ordered filed with the minutes as Exhibit "A. (Sent to members on March 16, 1970) c. The minutes of the previous meeting of April 14-15, 1969 were approved as circulated. (2) Report of the Nominating Committee for Directors The Nominating Committee for Directors composed of J. J. Lennon, Chairman, J. G. Cassara and Paul C. (3) Election of Directors There being no further nominations, it was moved, seconded and unanimously carried that nominations be closed and that the Secretary be instructed to cast one ballot for the slate presented by the Nominating Committee. (4) Announcement of Election of Officers It was announced at the opening of the Friday morning session, April 10, 1970, that the Board of Directors at its meeting the day before elected the following officers to serve until the next annual meeting: J. Gordon McCullough R. A. Gardiner, Jr. W. G. Hewitt S. D. Strauss J. L. Kimberley D. M. Borcina Mrs. D. L. Moore - President and Chairman of the Board - Vice President - Vice President - Vice President - Executive Vice President - Secretary and Treasurer - Assistant Treasurer The newly elected president, J. Gordon McCullough, served as Chairman for the conduct of the remaining portion of the business affairs of the Association with D. M. Borcina continuing as secre tary. PNlfC00001242 -3- Annual Meeting Minutes April 9-10, 1970 {5) Report of Executive Vice President and Staff The Executive Vice President reported at the Thursday morning joint session, April 9, 1970, that a major part of his time was being taken up by the lead in gasoline controversy. His report as presented was a summary of the "Lead in Gasoline" bulletins that have been going to all members of the Association. . The Secretary then presented on behalf of the staff a summary report of their activities over the past year as per Appendix ''B" attached. {6) Report of the Treasurer The Treasurer reviewed the financial operations of the Association during the previous year and presented for the members' approval a copy of the audit of the accounts as of December 31, 1969, by Peat, Marwick, Mitchell & Co. as per Exhibit "B" attached.
