Anderson 3349 Braemer Drive Lexington, KY 40502 Dear Dr. Anderson: Dr. Ron Snee has discussed with you the possibility of your becoming a consultant for the Du Pont Company. We are pleased to now offer you a consultant-ship on the terms set forth below. 1. This agreement shall be effective as of the date of your acceptance hereof and shall terminate on June 30, 1984, unless extended by further written understanding between you and us, or unless sooner terminated by either you or us by giving the other, party at least thirty (30) days' advance written notice of intention so to terminate. 2. Your position shall be that of an independent contractor and not an employee of the Du Pont Company. 3. You shall make available up to six (6) days of consulting time at our facilities at Wilmington, Delaware, or at such other locations that you and we mutually agree upon. Any consulting time in excess of these six (6) days that we may request shall be made available to us only to the extent agreeable to you. 4. We shall pay you a fee of five-hundred dollars ($500) for each day of consulting time. We will also reimburse you for your reasonable traveling expenses to and from the place of consultation (but not for travel time as such), for your reasonable living expenses at such location, and for any other expenses you incur at our request. Payment of the daily consulting fee and reimbursement of expenses shall be made promptly upon your submittal of invoices to us. TEH 0532666 DUP050033935 N33836.01 2 January 19, 1984 Dr. Richard L. Anderson 4- 5. There will be no restrictions on the field of consultation, but your services will be used primarily in the field of statistics, 6. You shall not disclose to others without Our written consent any unpublished information concerning Du Rent's business and research activities and interests with which you become familiar in your contacts with us. Similarly, you shall not disclose to others without our written consent the results or specific nature of your consulting work for us. 7. You agree to communicate to Du Pont any ideas and improvements that you conceive or make arising from your activities under this agreement and you hereby assign all rights and title to such ideas and improvements to Du Pont. If Du Pont considers any of them to be inventions on which Du Pont wishes to apply for United. States or foreign patents, you shall at our request execute all papers we deem necessary or advisable for the filing and prosecution of such patent applications and for providing confirmation of Du Pont's legal title to the inven tions, applications, and any patents granted. Du Pont shall bear all costs involved. 8. Your obligations under paragraphs 6 and 7 shall continue beyond the termination of this agreement insofar as they relate to your activities under the agreement prior to its termination. It is our understanding that you have no obligations that are inconsistent with your accepting these terms. If our understanding is correct and if you accept the terms set forth above, please so indicate by signing and returning to us the enclosed duplicate of this letter, We would appreciate your informing us in advance of any new consultantship you might undertake while this agreement is in effect.
