OPENING OF MEETING/SELF-INTRODUCTIONS Chairman John Russ convened the meeting at 7:30 a.m. followed by a round of self-introductions. II. APPROVAL OF MINUTES OF MARCH 11. 1993 EXECUTIVE BOARD MEETING Mr. Russ stated that Item XII.B. on page 8 of the minutes of the March 11, 1993 Executive Board Meeting as contained under Tab A of the Briefing Book for this meeting should be changed to state that Mr. Bailey served as Chairman of the threeperson Nominating Committee, with Messrs. Russ and Struber as the other members. Mr. Schiffer moved that the minutes be approved as submitted with the change noted by Mr. Russ. The motion was seconded by Mr. Krauskopf and approved without objection. III. FINANCIAL REPORT A. Status of Current Expenditures Mr. Burnett reviewed the Cash Basis Statement for the fiscal year through March 31, 1993 as well as the Year End Projection for the current fiscal year (1992-1993), both of which are included under Tab B of the Briefing Book. Mr. Burnett noted that the Communications line item was kept under the level Mr. Meeker committed to at the last Executive Board Meeting. Mr. Burnett further noted that the stated anticipated carryover figure of $188,191 might be further reduced by two unbudgeted projects, one of which is to be discussed during the Executive Board meeting. B. Proposed Budget for FY 1993-1994 Mr. Burnett reviewed the Proposed Budget for Fiscal Year 1993-1994 (the period from June 1, 1993 through May 31, 1994) as included under Tab C of the Briefing Book. Mr. Burnett noted that the proposed budget reflects the restructuring of the Institute's committees. Vinyl Institute Treasurer William Patient noted that the proposal reflects a significant increase in funding support to the Uni-Bell PVC Pipe Association, and commented that it might be necessary to increase the level of support by another $50,000. A motion to approve the budget as proposed was made by Mr. Struber. The motion was seconded by Mr. Patient and approved without objection. CTL008036 3 IV. NOMINATING COMMITTEE REPORT/ELECTION OF EXECUTIVE BOARD OFFICERS As a member of the Nominating Committee, Mr. Struber noted that an April 13 report to the Board from Alan Bailey, Chairman of the Nominating Committee, is included under Tab D of the Briefing book. He noted that the slate of officers for two-year terms starting June 1, 1993 includes: Chairman: Vice Chairman: Secretary: Treasurer: Edwin S. Schiffer, Georgia Gulf Corp. William Patient, The Geon Company Erv Schroeder, Shintech Inc. J. Alan Bailey, Occidental Chemical Corp. Mr. Russ asked for any additional nominations from the floor. There being no additional nominations, Mr. Azrak moved that the slate of officers as presented by Mr. Struber on behalf of the Nominating Committee be approved. The motion was seconded by Mr. Flammer and approved without objection. V. NEW BUSINESS A. Report of EDC/VCM/PVC Ad Hoc Task Force Mr. Burnett noted that an ad hoc task force had been formed within the Vinyl Institute to respond to recent allegations of dioxin and furan impurities in EDC/VCM/PVC. Mr. Burnett further noted that the task force co-chairs (Frank Borrelli of Georgia Gulf, Chairman of VI Health, Safety & Environment Committee, and Ron McCreedy of Dow Chemical, Chairman of the VI Technical Committee) are at the Executive Board meeting for the purpose of reviewing the initiatives undertaken since the task force's initial meeting on May 4 and presenting recommendations to the Executive Board for their review and recommendation. Mr. Borrelli briefly summarized a number of recent letters to the regional and headquarters office of the U.S. Environmental Protection Agency calling for Agency action as a direct result of allegations of dioxin and furan impurities in EDC/VCM/PVC. Mr. Borrelli noted that an April 23 teleconference preceded a May 4 "brain storming" session at which a proposed mission statement for the task force and recommended initiatives were addressed. Mr. McCreedy reviewed the proposed mission statement, discussed initiatives underway (including a contract with ChemRisk), and reviewed in detail recommended additional initiatives for which Executive Board review is appropri CTL008037 4 ate. In response to a question from Mr. Patient regarding using models/tests, Mr. McCreedy reviewed the task force's consideration of this issue and noted that Agency involvement in whatever process is selected is recommended. Mr. Langballe was asked to provide an appropriate contact at Norsk Hydro. In response to a question from Mr. Schiffer relative to testing and data submission, Mr. McCreedy reviewed possible ways to develop an industry profile. In summarizing the presentation and Board consideration, Mr. Puss noted that there was agreement to proceed with the recommended initiatives and stated that the ad hoc task members will keep the VI Executive Board fully apprised of all actions taken. Mr. Burnett noted that to assure that appropriate communications on this topic occur, the members of the Executive Board were asked to review a proposed standby statement prepared by Mr. Meeker on the industry's response to the allegations of dioxin and furan impuri ties in EDC/VCM/PVC. The members of the Board offered suggestions to Mr. Meeker regarding proposed revisions. B. APC Life Cycle Inventory Project Dr. Gottesman reviewed briefly the life cycle inventory project being sponsored by the American Plastics Council and now underway at Chem Systems. He noted the upcoming June seminars and asked for appropriate assistance from VCM/EDC producers. C. Health Survey Mr. Patient suggested that the VI Health, Safety & Environment Committee be asked to consider undertaking an appropriate survey that would look at medical records on certain topics (specifically cancer and reproductive issues). VI. OLD BUSINESS A. Restructuring of the Vinvl Institute/Status of Issues Management comm-i a Mr. Burnett stated that restructuring the Institute's committee structure is virtually complete. He noted that the Electrical Materials Council, the Pipe Resource Organization, and the Vinyl Packaging Council would have their last official meetings in conjunction with the Annual Meeting. Each of these committees was asked to CTL008038 5 develop a list of recommended activities/initiatives for consideration by the Issues Management Committee. Mr. Burnett noted that the Issues Management Committee, to be chaired by Fred Krause, will have a brief organiza tional meeting at 4 pm on May 25. Mr. Burnett further stated that it is intended to have the Issues Management Committee function with special ad hoc task forces formed to address specific items/issues. B. Update on International Group on Chlorine Chemistry Associations and Related Items. Mr. Burnett briefly reviewed the discussions held and decisions made during the May 17 and May 18 meetings of the International Group of Chlorine Chemistry Associa tions (IGCCA) as well as on the discussions held during the May 19 meeting of the International Group of PVC Associations. Mr. Burnett noted that at this point in time a Tripartite session is being planned for October, after which the PVC group's discussions/activities will be likely merged into the IGCCA. C. Update on International Joint cpmwH ion Activities Mrs. Scheck briefly updated the group on April hearings held by the International Joint Commission's Virtual Elimination Task Force and noted the positive contribu tions of VI member company participants to the roundtable discussions. She stated that comments submitted on position papers have been and will continue to be coordinated with Chlorine Institute staff. She noted that a mid-June meeting is planned with the members of the Commission, with Brad Lienhart of the Chlorine Coordinat ing Council, Robert Smerko of the Chlorine Institute, and Robert Burnett of the Vinyl Institute slated to be presenters. VII. FUTURE MEETING DATES FOR THE EXECUTIVE BOARD Mr. Burnett asked the group for some direction on the proposed meeting dates and locations as suggested in the program section of the Briefing Book for this meeting. Mr. Schiffer noted that he believes that the proposed March cycle for an Annual Meeting conflicts with annual meetings of several other trade groups and with spring school vacations. Mr. Patient suggested maintaining the current May cycle for the VI Annual Meeting and suggested a non-resort location, such as the facility previously used in Dallas. There being no further comments, Mr. Burnett noted that Ms. Benkner will research potential meeting locations and report back to the Board. CTL008039 6 VIII.ADJOURNMENT Mr. Russ asked that special thanks be given to a number of individuals who are departing from formal participation in Institute activities including: Brad Lienhart of Dow, who has been replaced by George Dillon; Donna Magill of PPG, who has been replaced by Brian Bourgeois; and Rick Flammer of Vista, whose company is now represented by Mark Schneider. Lastly, Mr. Russ thanked Mr. Schiffer for his assistance as Vice Chairman of the Institute during the last two years and Mr. Russ pledged his continued involvement in assuring a smooth transition. Mr. Patient offered a special thanks to Mr. Russ for overseeing the restructuring of the Institute's commit tees. A round of applause followed. There being no other business, a motion to adjourn was made at 8:30 a.m. by Mr. Stefany. The motion was seconded by Mr. Schroeder and approved without objection. Respectfully submitted, Meredith N.
