ELECTION OF OFFICERS Mr. Carrlgan called for nominations for the office of President. The name Robert E. Nelson was presented for President. The nomination wee seconded. Upon motion duly made, seconded and unanimously passed, it waa: RESOLVED: That the nominations for the-office of - - President1 be dosed. - .. Whereupon the Secretary Wes'instructed to cast, one ballot for the election of Mr. Robert E. Nelson as President. The Secretary advised that"tihe ballot had been cast. Whereupon the Secretary was directed to cast one ballot for the election of Mr. Stuart Coolns as Vice President. The Secretary advised that the ballot had been cast. For the Office of Treasurer, the name of Mr. William Simon was presented and seconded. Upon motion duly made, seconded and unanimously passed, it was: RESOLVED: That the nominations for the office of Treasurer be closed. . Whereupon the Secretary was directed to cast one ballot for the ejection of Mr. William Simon as Treasurer. The Secretary advised that tie had cast such ballot. . . ,. Drlslane President Vice President Treasurer Secretary RETENTION OF COUNSEL Mr. Nelson advised that according to ARTICLE VII of the By-Laws, at each annual meeting legal counsel shall be retained for the ensuing year. Upon motion duly made, seconded and unanimously passed. It was: RESOLVED: That Mr. Robert P.' Gorman of the Durand, Gorman Heher, Imbrlaco & Lynes Law Firm be retained as Cotinsel for the ensuing year. . FMSI 04405 Minutes of the Board of Directors Meeting -3- June 16, 1982 RETENTION OF AUDITORS The Chtdrman on recommendation of the Secretary, suggested the retention of auditors for the ensuing year Upon motion duly made, seconded and unanimously passed, it was: RESOLVED: That Marshall Granger & Co., Certified Public Accountants, be retained as auditors for the ensuing year. BUDGET - JULY 1, 1982 THROUGH JUNE 30. 1983 The Chairman advised the meeting that the expense budget presented to the Annual Meeting for $107,500 for 1982-83 had been adopted by the Membership. Upon motion duly made, seconded and unanimously passed, it was: RESOLVED: That a budget of $107,500 for the fiscal year starting July 1, 1982 be accepted. FEE FORMULA - JULY 1, 1982 to JUNE 30. 1983 The meeting was advised that the outgoing Board of Directors had voted to increase the annual fee and fee formula for the fiscal year starting July l, 1982. The newly-elected Board of Directors was asked to affirm the new fee formula. Upon motion duly made, seconded ahd unanimously passed, it was: RESOLVED: That the annual fee. for the fiscal year starting July 1, 1982 for Active Members and Regional Members with Active Member : rights be a basic rate of $1,300 with an additional $700 for each category in which engaged; for individual regular Regional Members $1,600; for trade groups holding Regional Membership $2,600; and Licensees $600. The Secretary was directed to contact the Accountants in order to explain to the Members how the Reserve created by the additional dues would be handled. This explanation was to be sent the Membership before July 1, 1982. ASBESTOS COMPENSATION COALITION The Board of Directors discussed the presentation made by the Asbestos Compensation Coalition. As the presentation was made to the Membership after the meeting of the outgoing Board of Directors, the incoming Board of Directors had been assigned the task of deciding what action, if any, was to be taken relative to the Institute and the Coalition. FMSI 04406 TT Minutes of the Board of Directors Meeting 4- June 16, 1982 It was stated that the Institute should advise the Coalition that It would like to distribute papers, copies of presentations, and suggested legislation to Institute Meabers, coordinating any such works with the Chairman of the Institute's Health and Environmental Affairs Committee. The Secretary was directed to thank the Coalition for Its presentation at the Menbership Meeting. Upon motion duly made, seconded and'unanimously passed, it was: RESOLVED: To maintain liaison with the Asbestos Compensation Coalition.mid coordinate any distribution of proposals), view points, and accomplishments of said Coalition through the .Institute's Health and Environmental Affairs Committee. ' MEETING OF THE BOARD OF DIRECTORS The next meeting of the Board of Directors is scheduled for the week of June 13, 1983, at Sawgrass, in Ponte Vedra Bepch, Florida.
