Hiehole Gentlemen: This will confirm oar anderetanding of the arrangementa which you have made with oar Mr, J, V, Carlisle on granting an option to purchase the Lindane Plant and BHC Storage Building pro* sently standing on Ethyl's Baton Rouge Plant site, Effective May 15, 1955, in consideration of Ethyl paying you $1,000,00, you have granted to Ethyl a thirty-day (30) option to purchase the Lindane Plant and BHC Storage Building including all of the facilities listed in Exhibit "A" attached hereto, for the sum of $25,000,00, At the election of Ethyl, the option ean he renewed for successive thirty-day (30) periods upon the payment to you of $1,000.00 for each thirty-day (30) renewal period. If Ethyl exercises its option to purchase the Lindane Plant and BHC storage Building, together with the indicated facilities, all option money paid to you shall he credited against the purchase price. Ethyl understands that Nichols Construction Company does not have title to the jet refrigeration unit (JR-2) and Ethyl will negotiate directly with Brill Equipment Company for the acquisition of this equip* rnent. All pipe, equipment, etc., to be removed from the Lindane structure except tke following: a. All lights, lighting conduit, power conduit end switches to remain in place. b. Sprinkler system to remain In place. c. Ventilation and heating systems to remain in place. d. Control room to remain as is, except for centrifuge timers and remaining instruments in panel. e. Centrifuge foundations to remain in place. f. The pipe rack and all utility headers, north side of building, to remain in place. Any process pipe on this rack to be removed. All pipe from utility headers into the building to be disconnected at the headers. g. All tank foundations and dike wall to remain in place in the area immediately adjacent to the north side of the Lindane structure. The tank foundations for the two TCB product tanks and slop tank immediately west of the TCB plant to remain in place. All tank foundations and dike wall in the tank farm area west of the BHC plant to remain in place. h. Overhead crane and controls to remain in place. 2.
