Wilson A motion was made, seconded and unanimously carried That the slate of officers as proposed by the Nominating Committee be elected, \ Mr, Ruddock thereupon relinquished the Chair to Mr, Luchs who proceeded to undertake the duties of his office. SELECTION OF EXECUTIVE SECRETARY A motion was made by Mr* J, B, Jobe, seconded by Mr, H, T, Williams and unanimously carried That Mr,J, 15* Barnhart be Executive Secretary, SELECTION OF LEGAL COUNSEL A motion was made by Mr, M* M, Wilson, seconded by Mr, H, E, Lewis and unanimously carried That the firm of Cadwalader, wickersham & Taft be retained as legal counsel. DUES ASSESSMENT Following discussion on the proposed method of dues assessment a motion was made by Mr, G, J, Christner, seconded by Mr, J, C, Voiles and unani mously carried That the following method of dues assessment be adopted) DUES A^'ESSM^NT BASIS Annual Dues - l/ of 1% of the actual dollar sales price of all industrial or commercial insulation products included in membership requirement. Maximum Annual Dues - For assessment purposes the products of the industry are divided into two product groups. No member comoany will pay dues in any year in excess of Slj,000 based on its dollar sales of products in a particular product group. These product groups are: Product Group A: Moldedpipe and block heat insulations composed in principal part of magnesia, diatomaceous silica, calcium silicate or expanded silica. Product Group B; All industrial or commercial insulation products included in the Associations membership requirement other than those included in Product Group A, Effect of Maximum Dues Limitation If all the products reported to the Association by a particular member comoany fall within a single Product Group, the dues of that member comoany v^ill not exceed $h,000 a year. If a member company reports to the Association on products in both product groups, the dues of that member company will not exceed 8,GOO a year. In either case, of course, the dues will not exceed l/$ of 1% of actual dollar sales and, therefore, may be below the maximum figures. Minimum Annual Dues - The minimum dues for regular members will be $*00.00 per year. Associate Member Dues - The dues for associate members will be &20,00 per year. Collection of Statistics for Assessments In response to a question from the floor, it was stated that an independent outside agency, preferably a bank or an accounting firm, will be retained to collect dollar sales figures from members on a confidential basis for assessment purposes. Dues for the fiscal year of 19!>9 will be based on the individual company*s sales for 1958. It was reported that with the formation of the National Insulation Manu facturers Association the Industrial Mineral Insulation Manufacturers Institute, Inc., and the Magnesia-Silica Insulation Manufacturers Associ ation will be dissolved and that all physical assets of these associations will be transferred to NIKA, The cash of each association shall be credit ed as each sees fit to its present membership and applied to the initial dues cost of ouch members in the NIMA, 6 FUTURE MEETING PLANS It was decided that the initial Bi.-j-d of Directors Meeting of the Associ ation would be on February 10, 1959* in New York City at a hotel location to be announced* After some discussion, it appeared to be the consensus that there should be three general meetings of the Association each year* The Fall Meeting was announced to be tentatively scheduled for The Homestead, Hot Springs, Va*, September 8 and 9, 1959* providing accommodations can be secured* The Executive Committee agreed to meet during January to formulate operating plans for the Association and to present its proposals at the February 10, 1959, Board of Directors Meeting, SUGGESTED ACTIVITIES In the course of a general discussion of the activities in which the Associ ation might engage for the benefit of the Industry the following committees were suggested: Traffic^Committee Statistical Committee Public Relations and Publicity Committee Government Relations Committee Technical Committee TRAFFIC COMMITTEE It v/as decided that it was important that continued attention should be given to the traffic activities presently being carried on and that the Traffic Committee of the IMIMI would, therefore, continue to function vdth its present membership on behalf of the Association*. ****** Mr* I*. R* Hoff spoke on the value of trade associations to industry. A motion was then made, seconded and unanimously passed Commending the Organizing Committee on its successful efforts in working out a sound basis for the creation f the National Insulation Manufacturers Association* ADJOURNMENT There being no further business The meeting was adjourned.
