Re: Debit Balance Owed by Molded Industrial Friction
Gentlemen:
I am writing to you in reference to the settlement of the trade accounts payable due by Molded Industrial Friction Corp. , (MIF), Prattville, Alabama. It is my understanding, from our records, that you are a creditor of MIF for an amount of $1,850.00.
A buyer for the assets (and not the capital stock of MIF) has been found, and thanks to this event, all creditors have the opportunity to recoup some of their potential losses.
It is important for you to have knowledge of the following facts, so that you may reach your decision concerning the settle ment of the MIF account with full disclosure of the conditions under which MIF has made a sale of its assets:
1. MIF has sold all of its assets to Brake Systems, Inc. (BSI) for $400,000. This sale must be considered as an exceptional event, and should be viewed by the MIF creditors as the best possible occurence in the affairs of MIF. It should be noted that extensive negotiations were held with other prospective buyers, and that none came close to the BSI offer.
2. The debts of MIF are far in excess of the $400,000 proceeds and it is inconceivable that the sale of MIF would ever generate an amount sufficient to cover all of its debts.
3. As a matter of fact, a secured creditor (Mr. Alfred Gamble) who held a second position to First Montgomery Bank has accepted less than 50 cents on a dollar which has enabled MIF to offer the unsecured trade creditors 20 cents on the dollar.

4. It is thus imperative to fairly evaluate this sale; An auction sale would leave a balance owed to secured creditors of such magnitude, (in excess of $350,000) that the unsecured creditors would have no chance whatsoever of recouping any of the amounts owed to them.
The existing conditions guarantee a settlement of 20 cents on the dollar to all creditors, and we urge you to consider a rapid settlement of your claim. We cannot accomplish more than providing you with full disclosure of the MIF sale, con sequently your decision is obviously your own, and should be reached after deliberation and evaluation of all facts and conditions.
Should you accept the settlement proposed (20% of the amount owed), please so indicate by returning to us the attached form letter signed by an authorized officer of your company, and payment will be made immediately. Otherwise, please contact me at our office (205-365-3324) and I will be happy to assist you in any way possible.

Per our phone conversation of this date, I am enclosing summary data on our historical sales program. One report is the report as prepared by the accountants for the full 1983 calendar year. The other is a summary tabulation that I have kept since 1977, showing the pieces sold in the replacement market each quarter, on a cumulative basis for 3 months, six months, nine months and the full year.
Also enclosed is a copy of our BULLETIN NO. 800 requesting the input from our Members for the six months to June 30, 1984. (This actually is sent only to those who have reported in the past or indicate an interest in reporting). That bulletin should explain the reporting guidelines.
Your actual input should be on forms provided by the Accountants--Marshall Granger & Co., CPA. I called them and asked that they send you reporting forms. I'd appreciate it if you could get your input to them no later than August 15. As your fee is' based on the brake block category only. Molded Industrial should only be reporting in the block classification.

This concerns our phone conversation of yesterday.
I have attached a copy of FMVSS #121, the Air Brake Systems Standard which was published on February 24, 1972. As you will note, this is a systems standard. There is no Federal standard as such covering brake lining. The National Highway Traffic Safety Administration is working to develop a brake lining standard per se and it has not been established as to whether such a standard would be on a dynamometer, on a vehicle, or on a friction test machine.
When any one sppS^ that they have developed a friction material which will meet FMVSS #121, they are not giving the full story. The new systems standard has to be certified by the vehicle manufacturer. If someone had a set of premium quality brake blocks on an axle which was designed properly to handle the wheel loading, if that axle and set of blocks were Installed on a vehicle with high center of gravity, with inadequate brakes in the front, with a faulty air system, and probably without wheel lock control, that material would not "pass the FMVSS #121 standard."
I have also included a notice that was in the Automotive News recently concerning World Bestos having developed a friction material which, when used on a disc brake, would "meet the 121 rules." While this may be a very fine piece of friction material, if it were on an Inadequate brake, on
Inadequate axles, with various systems shortcomings, it could not meet the FMVSS #121 Brake Systems Standard.
There are some manufacturers who say that given the proper overall system and axle that they do have quality brake blocks that have passed the FMVSS #121 test as run by vehicle manufacturers. This, in essence, is the only really true claim that a brake lining manufacturer can make and that is if the material has been tested on a brake system which was certified by a vehicle manufacturer. There is no way that a brake lining manufacturer can certify that his brake lining will meet the FMVSS #121 standards.
I trust this gives you sufficient background concerning the information I have on Standard #121.

Any quantity over 25 of these bulletins is charged at #.05 per page. A sample bulletin is enclosed.
SHOE BULLET I NS The Shoe Bulletins are our Blue Bulletins which give information on brake shoes for passenger car and light - medium truck brakes. Conditions are similar to that on Data Books. A sample is enclosed.

The F.M.S.I. numbering system is protected by copyright* The usual pattern for a large original equipment axle manufacturer like yourself would be to re* ceive authorization to use the F.M.S. I. numbers on your products and in your catalogs by a member of the Frlet i be Materials Standards Institute, Inc. This apparently had been the case in the past when you were purchasing from brake lining manufacturers who were members of the Institute.
At this time, w have no authorization on file for you to use the F.M.S.I. Numbering system. Mould you please contact whoever is supplying you with your brake blocks, to find out if he is a member of the Institute, and if so, to advise the Institute that he has authorized use of the numbers. Otherwise, we must ask you to discontinue their use.

I received your letter of July 27th with regard to the status of Molded Industrial Friction Corp.
It seems no one has been successful in obtaining price schedules, catalogs, etc. which reflect that they are using F.M.S.I. numbers
I have enclosed, however, a price sheet used by Standard Forge and Axle which in some way is associated with MIFC. I suggest you. have a Dun & Bradstreet report pulled to ascertain what the corporate set-up is and then perhaps Les could give us his interpretation.
In the meantime, I suggest we bulletin the entire membership requesting them to send in any material that they might have reflecting MIFC's use of the F.M.S.I. numbering system.

Dear Mr. Frazier;
On November 13, 1969 I had forwarded the information you desired with regard to Active Membership in the Institute but have not heard from you since that time.
I have now received a report that you are manufacturing blocks and selling these under F.M.S.I. numbers one of which is F.M.S. number 4468. Since you are not an Institute member, you are not permitted to us the F.M.S.I. numbering system on any of the friction material you are manufacturing since these numbers are copyrighted.
You were interested in membership and an application form for Active Membership as well as a copy of the Constitution was forwarded to you. Would you kindly advise whether you plan to apply for em membership. If not you will not be permitted to use the copyright numbers on any of the products nor on any of your printed literature etc., as you will be in violation of the Institute copyright.

Thank you wry such for your prompt reply to my inquiry of November 3rd,
To become an Active Member of the Institute,, which would be your classification as a manufacturer of brake blocks in the United States, you will have to be manufacturing in commercial quantities. Until you are a member, however, you would not be permitted to use the P.K.S.I. numbers on any of your products nor in any of your literature such as catalogs, price sheets, ete. In addition, you cannot be placed on our mailing list for releases of specifications nor to pur chase Data Books, until a member.
In view of the fact that you are planning to start manufacturing as of December 1, 1969, I am enclosing, herewith, two copies of the application for Active Member ship. one of which is to be returned to this office together with your check for $1,000. which is for the initiation fee. A copy of our Constitution is also enclosed. I shall not expect the return of this application unM.1 such time as you, have started production and idll be in a position to fill in the required infonaaticn.
The advantages of Active Membership are as follows;
1. The use of the F.M.S.I, numbers on all products of your manufacture as well as in all of your literature.
2. The right to call upon this office for
a, blue prints for such blocks etc., or brake lining prints at a cost of $.75
per copy regardless of size,
b, information on such vehicles which ;re not listed in the Automotive Bata Rook
and not released in eagr bulletins. The office then attempts to secure such
data -

c, identification of linings, blocks, etc. which cannot be identified by us.
3. The receipt of Bata Rook Bulletins and Shoe Bulletins in quantity. However, 25 copies are free of charge, but any excess of this are charged for at the rate of 1.05 per page.

Dear Miss Duschek: In reply to your letter of November 3*1969,I am
pleased to announce at this time that my plant will be in operation as of December 1,1969 in the manufacture of Brake Blocks of your 4600 Series sets as well as 0.B.M. Blocks.
Phase 2 of our program will be in the manufacture of Disc-Brake pads for popular American and foreign make passenger cars and light trucks.We do not elect at this time to go into the production of passenger car drum-type segments.
Phase 3 which will hopfully be under way in early
1971 will be in the manufacture of molded industrial type segments of the flat segmented nature.
Please be advised that we are a wholly-owned Corporation and not a subsidiary or divison of any of the existing Friction Material Manufacturers.
I would appreciate your reply as to what qualifications we must posess and/or what steps to take in getting on your mailing list and becoming an active member of Friction Materials Standards Institute,Inc.
