Pursuant to my conversation with your Mr. Phil Hanson on Monday, March 16, 198^ we are providing this letter to update you as to Performance Contracting's current status as a business, our business emphasis and our ability to service, your material supply requirements.
Performance Contracting, Inc. had been a wholly owned subsidiary of QwensCorning Fiberglas Corp., from the time of its actual split as the Contracting Division of Owens-Corning during June, 1985. As of February 27, 1987 Performance Contracting, Inc. has been acquired by Performance Contracting Group, Inc. located in Charlotte, North Carolina.
Performance Contracting Group was.extablished in 1986 for the purpose of acquiring all the stock of Performance Contracting, Inc. from Owens- Corning; Fiberglas Corp. In addition to Performance Contracting, Inc. (PCI), Performance Contracting Ltd. was organized to conduct foreign business and Performance Abatement Services, Inc. (PAS) was organized to perform exclusively asbestos abatement work. There has also been a fireproofing company organized with Morceau Fire Protection Ltd., U. K. which is called Morceau/PCI, Inc..
With the exception of asbestos abatement work PCI will continue to provide both contracting and material supply and distribution services as previously available. As you are aware we have closed our Houston warehouse facilityrt All activity relating to both contracting and material supply preeaeweij-r;.,-.jy' conducted from Houston has been conducted from our Port Arthur facility siniSi December, 1986. We have maintained our Houston warehouse facility for materials only. Additionally we have established a material warehousing; and- fabrication facility in Bay City, Texas.

As you may be aware, Owens-Coming FIberglas Corporation is in the process of transferring tire employees, assets and operations of its Contracting Division to a wholly-cwned subsidiary of Owens-Coming named Performance Contracting, Inc. Unlike CX^ens-Coming, this corporation will be dedicated solely to contracting and related operations. The transfer of the Contracting Division should be completed around June 1, 1985. All bids and contract awards after the effective date will be in the name of Performance Contracting, Inc. To facilitate the above transfer and minimize the administrative headaches of maintaining two separate organizations, contracts currently in progress will also be performed by this subsidiary after the effective date of transfer. Any amounts new due or future billings will be in the name of, and payment should be made directly to. Performance Contracting, Inc. This letter will serve as your authority to make payments to Performance Contracting, Inc., and otherwise deal with such subsidiary as if you were dealing with the Contracting Division of Owens-Coming FIberglas Corporation.
